Form 990, Part VI, Line 15A PROCESS TO ESTABLISH COMPENSATION OF TOP MANAGEMENT OFFICIAL

THE EXECUTIVE DIRECTOR'S COMPENSATION IS APPROVED BY THE BOARD OF THE ORGANIZATION AS WELL AS THE MANAGEMENT OF THE ORGANIZATION'S LONDON AFFILIATE, THE CLIMATE CHANGE ORGANIZATION. WHEN DETERMINING COMPENSATION A REVIEW OF THE NON-PROFIT SALARIES OF SIMILAR ORGANIZATIONS IS CONDUCTED TO DETERMINE IF THE COMPENSATION IS REASONABLE. THE FORMAL APPROVAL OF COMPENSATION IS THEN DOCUMENTED IN THE BOARD MINUTES. A review and approval of the executive director's compensation was last completed for FY16. THERE WAS NO CHANGE IN EXECUTIVE DIRECTOR'S COMPENSATION.

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The Corporation is exempt from federal and state taxes under Section 501(c)(3) of the Internal Revenue Service Code and Section 23701d of the Delaware revenue and Taxation Code, and is considered by the IRS to be an organization other than a private foundation. In the opinion of management, there is no unrelated business income. Accounting principles generally accepted in the United States of America (U.S. GAAP) prescribes recognition thresholds and measurement attributes for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. Tax benefits will be recognized only if the tax position is more-likely-than-not sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized will be the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax benefit will be recorded. Management has concluded that they are unaware of any tax benefits or liabilities to be recognized at June 30, 2017 and 2016. The Corporation is no longer subject to examination by U.S. federal taxing authorities and for all state income taxes through 2013. The Corporation does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The Corporation would recognize interest and penalties related to unrecognized tax benefits in interest and income tax expense, respectively. The Corporation has no amounts accrued for interest and penalties as of June 30, 2017 and 2016.

IRS990/Desc0The Climate Group successfully achieved significant objectives in FY 16/17: increasing the number of state and regional governments committing to new climate efforts (such as reporting on their emissions); increasing the number of corporates joining our 100% renewable electricity RE100 campaign; launching EP100 as a new corporate campaign in which companies double their energy productivity; and delivering another impactful Climate Week NYC. Highlights of our achievements include: States & Regions: The Climate Group helped to expand the Under2 Coalition for which it serves as the Secretariat. Started by the US State of California and the German State of Baden-Wurttemberg; the coalition has grown from 135 to 205 subnational governments across 43 countries and 6 continents to date. Signatories to the Under2 MOU commit to limit greenhouse gas emissions to 2 tons per capita or 80-95% below 1990 levels by 2050. The Climate Group, in partnership with CDP, released its Second Annual Compact of States and Regions Report. The Paris Agreement includes the requirement for all 'Parties' to report regularly on their emissions and on implementation efforts under their national climate action plans - or Nationally Determined Contributions (NDCs).The Compact of States and Regions, which incentivizes states, provinces and regions to report on an annual basis, is providing sound and solid lessons on how the temperature goals of the Agreement - staying well below a 2 degrees' Celsius rise and pursuing efforts to limit it to 1.5 degrees Celsius - can be met. This annual report provides analysis, and helps in identifying both areas of success by sub-national governments and where further action is needed. The Compact of States and Regions already brings together 62 states, provinces and regions, representing over 440 million citizens and 17% of the global economy. We continued to facilitate peer-to-peer learning and best-practice sharing between state and regional governments through regular webinars and case studies. Throughout the year we convened meetings of subnational government leaders alongside major climate events including Clean Energy Ministerial (June 2017), Climate Week NYC (September 2016), COP 22 in Marrakech (November 2016) The "Power to Act" report, published during Climate Week NYC 2016, highlighted how sub-national governments need to cooperate to tackle climate change on a planetary scale. In the new international climate change regime, it's not only national policies that matter, but state, regional, and city policies as well. For many countries, meeting their Paris "pledge" will depend on sub-national governments going "farther and faster" than the national government. Business Actions: Our RE100 continued to grow and firmly established itself as one of the leading international campaigns driving corporate demand for renewable energy in FY16/17. During the year, membership grew to 70 companies by the end of June. New US-headquartered members included Microsoft, Mars, and Google. The 2016 RE100 Annual Report found that on average, companies in the campaign were half way to meeting their 100% renewable power targets. EP100 reached the one-year mark. Like RE100, EP100 is a corporate commitment campaign, but in this case businesses make a commitment to doubling their 'energy productivity' over a 25-year period in-line with international best practice. Energy productivity is about producing more goods and services with less energy. EP100 complements RE100, because if companies use less energy, this makes it easier and cheaper to move to 100% renewables - a connection best summed up by the phrase 'Using Better Energy, Better'. By the end of FY16/17, EP100 had secured 13 companies, including leading Indian conglomerate, Mahindra & Mahindra, and US energy efficiency specialists, Johnson Controls. We continued to work closely with our partners in the We Mean Business (WMB) Coalition to communicate the strong support of forward-thinking

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0The Corporation is exempt from federal and state taxes under Section 501(c)(3) of the Internal Revenue Service Code and Section 23701d of the Delaware revenue and Taxation Code, and is considered by the IRS to be an organization other than a private foundation. In the opinion of management, there is no unrelated business income. Accounting principles generally accepted in the United States of America (U.S. GAAP) prescribes recognition thresholds and measurement attributes for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. Tax benefits will be recognized only if the tax position is more-likely-than-not sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized will be the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax benefit will be recorded. Management has concluded that they are unaware of any tax benefits or liabilities to be recognized at June 30, 2017 and 2016. The Corporation is no longer subject to examination by U.S. federal taxing authorities and for all state income taxes through 2013. The Corporation does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The Corporation would recognize interest and penalties related to unrecognized tax benefits in interest and income tax expense, respectively. The Corporation has no amounts accrued for interest and penalties as of June 30, 2017 and 2016.
