The Climate Group is an independent tax exempt organization that brings together networks of international businesses and governments to shift markets and policies toward the goal of under 2C of global warming and greater prosperity for all, without delay. We act as a catalyst to take innovation and solutions to scale. And we use the power of communication to build ambition and pace.

The organization does not have any other officers and key employees that receive compensation. Therefore, this question has been answered "no" in accordance with the form instructions.

Form 990, Part VI, Line 15A PROCESS TO ESTABLISH COMPENSATION FOR TOP MANAGEMENT OFFICIAL

The executive director's compensation is approved by the board of the organization as well as the management of the organization's london affiliate, the climate change organization. When determining compensation a review of the non-profit salaries of similar organizations is conducted to determine if the compensation is reasonable. The formal approval of compensation is then documented in the board minutes. A review and approval of the executive director's compensation was last completed for fy20 and it was determined that there would be no salary changes for fy21.

Form 990, Part VI, Line 1A Delegate broad authority to A committee

The Board of Directors, by a resolution adopted by a majority of the Directors in office, may designate an Executive Committee, which shall consist of at least two Directors of the corporation. The Executive committee shall have and exercise the authority of the Board of Directors between meetings of the Board of Directors.

In July 2020, TCG NA adopted revised bylaws that include customary provisions governing election and terms of directors, officer positions, and indemnification of directors. These revisions were adopted to make the bylaws consistent with best practices for non-profit organizations.

TCG's management reviewed a draft of the form 990 with their independent paid tax-preparer, prior to filing the return with the IRS. The completed 990 form was provided to the full board prior to filing with the IRS.

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The Corporation is exempt from federal and state taxes under Section 501(c)(3) of the Internal Revenue Service Code and Section 23701d of the Delaware Revenue and Taxation Code. The Corporation has adopted accounting guidance related to accounting for uncertainty in income taxes. This guidance requires the Corporation to recognize a tax benefit only if it is more likely than not the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax benefit is recorded. The Corporation has examined this issue and has determined there are no tax positions that result in any uncertainties regarding the possible impact on the consolidation financial statements. The Corporation does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The Corporation would recognize interest and/or penalties related to unrecognized tax benefits in interest and income tax expense, respectively. The Corporation did not have any amount accrued for interest and penalties at June 30, 2021 or 2020.

IRS990/Desc0During the 2020-21 fiscal year, Climate Group drove climate action, fast, catalyzing a market and policy shift toward net zero emissions by 2050 despite the second year of the global COVID-19 pandemic. We continued to have our staff work remotely, with the occasional in-person meeting, and surpassed our programmatic and fundraising goals. The Climate Group North America sustained its work with businesses and subnational governments through our tried-and-true peer-learning model and our globally renowned summits, all of which were held online without sacrificing quality or depth of engagement. Under2 The Under2 Coalition has continued to drive increased ambition and action from state and regional governments on climate change, even during a second unprecedented year. The Under2 Coalition has adopted a revised Memorandum of Understanding (MOU) to achieve net zero emissions by 2050. In the United States, the Coalition welcomed 2 new members, Nevada and Maine, out of 14 new members worldwide. Globally, the Coalition hit a milestone: reaching a membership of over 260 governments, representing 50% of the global economy and over 1.75 billion people. Climate Group launched the first Under2 Coalition Leadership awards, of which Quebec won for the category "Climate partnerships" and British Columbia won for "Creative climate solutions." The Under2 Coalition launched Net Zero Futures, an initiative to mobilize global leadership on net zero ambition, which engaged over 80 states and regions worldwide and highlighted over 30 Net Zero Leaders, including 6 US states. New York State and Washington State also led peer-learning exchanges through the Net Zero Futures dialogue series on the topics of equity and justice in net zero planning and developing a decarbonization pathway, respectively. Another highlight of the fiscal year ending June 30, 2021 was the launch of the Further, Faster, Together campaign, spearheaded by Washington State, to promote short-term actions across key sectors. 68 state, regional, and city governments joined this campaign. To better support transparency of climate action and ambition among Under2 members, Climate Group launched the Under2 Ambition Tracker. 60 states and regions reported their climate action through the Ambition Tracker. In North America, Climate Group continues to facilitate climate dialogues among the US, Mexico, and Canada. Climate Group North America held 2 meetings bringing together members across the continent to discuss shared challenges and opportunities related to specific topics, such as building resilience for shared electric grids. Business Actions the Climate Group's EV100 continues to grow, both in terms of the sheer number of members and its influence on a national and global scale. The EV100 initiative had 105 company members globally as of June 30, 2021, up from 68 the previous year. Notable new EV100 members with a main headquarters in North America include National Grid, Quebecor, Siemens, and Novartis. In FY21, EV100 continued to grow across the US. We now have commitments for over 2 million vehicles from our members, and there are over 32,000 EVs already operating across the country. So far, 1109 charging sites have been committed, whilst 246 locations are already up and running with 2,466 charging units across them. The beginning of the Biden-Harris administration offered a new opportunity to accelerate the uptake of EVs in the US and to capitalize on the progress that our members have already made. In March 2021, we launched the first EV100 US policy paper, 'Key Policies to Drive the Electric Vehicle Transition in the US', to push for 100% ZEV sales for new passenger vehicles, ideally by 2030. This year saw federal clean car standards for vehicle model years 2023/2024-2026 adopted, and President Biden signed an Executive Order to achieve 50% ZEV sales for new passenger cars and truck sales by 2030.
