Form 990, Part VI, Line 15A PROCESS TO ESTABLISH COMPENSATION OF TOP MANAGEMENT OFFICIAL

THE EXECUTIVE DIRECTOR'S COMPENSATION IS APPROVED BY THE BOARD OF THE ORGANIZATION AS WELL AS THE MANAGEMENT OF THE ORGANIZATION'S LONDON AFFILIATE, THE CLIMATE CHANGE ORGANIZATION. WHEN DETERMINING COMPENSATION A REVIEW OF THE NON-PROFIT SALARIES OF SIMILAR ORGANIZATIONS IS CONDUCTED TO DETERMINE IF THE COMPENSATION IS REASONABLE. THE FORMAL APPROVAL OF COMPENSATION IS THEN DOCUMENTED IN THE BOARD MINUTES. A review and approval of the executive director's compensation was last completed for FY16. THERE WAS NO CHANGE IN EXECUTIVE DIRECTOR'S COMPENSATION.

Financial Statement Notes

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The Corporation is exempt from federal and state taxes under Section 501(c)(3) of the Internal Revenue Service Code and Section 23701d of the Delaware Revenue and Taxation Code, and is considered by the IRS to be an organization other than a private foundation. In the opinion of management, there is no unrelated business income. Accounting principles generally accepted in the United States of America (U.S. GAAP) prescribes recognition thresholds and measurement attributes for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. Tax benefits will be recognized only if the tax position is more-likely-than-not sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized will be the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax benefit will be recorded. Management has concluded that they are unaware of any tax benefits or liabilities to be recognized at June 30, 2018 and 2017. The Corporation is no longer subject to examination by U.S. federal taxing authorities for years before 2014 and for all state income taxes through 2014. The Corporation does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The Corporation would recognize interest and penalties related to unrecognized tax benefits in interest and income tax expense, respectively. The Corporation has no amounts accrued for interest or penalties as of June 30, 2018 and 2017.

IRS990/Desc0The Climate Group successfully achieved significant objectives in FY 17/18 helping to achieve our mission. Our work with businesses and subnational governments are shifting markets and policies toward net zero emissions by 2050. We increased the number of state and regional governments committing to deep decarbonization efforts by 2050; increased the number of corporates joining our 100% renewable electricity RE100 campaign; expanded EP100 to include new workstreams and new company joiners to double their energy productivity, launched EV100 to ramp up electric vehicle demand; and communicated this success by delivering another impactful Climate Week NYC. Highlights of our achievements include: The Under2 Coalition expanded with new joiners growing from 135 to over 220 governments representing over 1.3 billion people and 43% of the global economy. We shared best practices and solutions through our transparency, policy, and deep decarbonization pathway workstreams to help reduce greenhouse gas emissions (GHG) from our members. New US state joiners included Virginia and Hawaii. The Under2 Coalition's Transparency workstream supported signatories to strengthen their greenhouse gas (GHG) emissions accounting capacity, increase transparent disclosure of their climate change mitigation progress, and solve the most challenging sectoral accounting challenges. This year's Annual Disclosure Report showed 110 state and regional governments disclosing their climate data and actions in 2017 - a 60% increase since 2016. Together these governments represent US$13.4 trillion in GDP, which is equivalent to 18% of the global economy and 658 million citizens. Our Energy Transition Platform supported highly industrialized state and regional governments to develop and implement innovative clean energy policies. We held a key workshop to bring together regional government experts and research partners to share policy challenges and solutions around three key themes: community renewables, energy efficiency in buildings and engaging with energy-intensive industries which were published and disseminated as policy case studies to maximize impact. The Under2 Coalition provided resources for signatories, including an 'Introduction to 2050 Pathways' webinar series which shared the experiences of Under2 jurisdictions that have completed a 2050 Pathways analysis. Business Actions We continued to drive the clean energy transition by using the power of businesses to shift markets. Our RE100 initiative has a growing list of 124 member companies committed to 100% renewable electricity across their global operations, representing renewable electricity demand of 159 TWh. If RE100 were a country, it would be the 24the largest in terms of electricity use, ahead of Poland and just behind Egypt. Our EP100 initiative continued to grow, making the case for companies to double their energy productivity. The Climate Group estimates that if 100 companies double their energy productivity by 2030 - generating twice as much economic output for every unit of energy consumed - over 170 million metric tons of emissions could be avoided cumulatively, equivalent to taking 37 million cars off the road for a year. The Climate Group launched its 3rd business actions program, EV100, a groundbreaking new campaign on electrifying transportation, at Climate Week NYC in September 2017. EV100 aims to fast track the drive towards electric vehicles by companies using their collective buying power and influence to build demand, cut costs and remove barriers to adoption. The campaign was launched at the 'VELOCITY - Accelerating Climate Action' event, which saw The Climate Group partner with Formula E, VICE Impact and Spring Studios to demonstrate the need for faster action, greater impact, and convergence across all sectors in the fight against climate change. IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0The Corporation is exempt from federal and state taxes under Section 501(c)(3) of the Internal Revenue Service Code and Section 23701d of the Delaware Revenue and Taxation Code, and is considered by the IRS to be an organization other than a private foundation. In the opinion of management, there is no unrelated business income. Accounting principles generally accepted in the United States of America (U.S. GAAP) prescribes recognition thresholds and measurement attributes for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. Tax benefits will be recognized only if the tax position is more-likely-than-not sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized will be the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax benefit will be recorded. Management has concluded that they are unaware of any tax benefits or liabilities to be recognized at June 30, 2018 and 2017. The Corporation is no longer subject to examination by U.S. federal taxing authorities for years before 2014 and for all state income taxes through 2014. The Corporation does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The Corporation would recognize interest and penalties related to unrecognized tax benefits in interest and income tax expense, respectively. The Corporation has no amounts accrued for interest or penalties as of June 30, 2018 and 2017.
