Form 990, Part VI, Line 11B Review of form 990 by governing body

TCG's management reviewed a draft of the form 990 with their independent paid tax-preparer, prior to filing the return with the IRS. The completed 990 form was provided to the full board prior to filing with the IRS.

Form 990, Part VI, Line 12C Conflict of interest policy

The organization maintains a conflict of interest policy to which the board complies by signing an annual affirmation of adherence to the policy. At this time, management is unaware of any conflicts that exist. The organization strictly prohibits in engaging in any activity financial or otherwise which is incompatible with his/her duties at the climate group.

Additional Explanations

Form 990, Part III, Line 4A PROGRAM SERVICE ACCOMPLISHMENTS

(CONTINUATION FROM PART III, LINE 4A) BRINGING NEW VOICES TO THE CLIMATE DEBATE AND RENEWED BUSINESS LEADERSHIP: * We launched two major initiatives engaging and empowering business on climate solutions: the We Mean Business Coalition and the RE100 campaign. * The RE100 campaign's goal is to drive corporate demand for renewables by getting the most influential businesses to source 100% of its electricity from renewable sources. * We established a network of ten disruptive small-cap and start-up companies exemplifying key innovations on low carbon technology and/or business models. * The Climate Group activated over 20 new voices on climate representing broad-based and diverse sectors of society such as agriculture, faith, education, entrepreneurs, the military, health, and insurers. * We worked with individuals from this group to place an average of at least one op-ed/media item per quarter in mainstream news outlets supporting the vision of the Clean Revolution. * We released ten Insight Briefings for policymakers within the business community. Mobilizing Climate Action through CLIMATE WEEK NYC September 22-28, 2014, NEW YORK: * Our 6th edition of CWNYC 2014 was our biggest and most impactful yet. As the collaborative space for all events in support of the UN Climate Summit, there were a record number of 144 affiliate events including the public Climate March where over 400,000 people took to the streets of Manhattan to demand climate action. * Prominent speakers at our Opening Ceremony under the theme "Toward a Vibrant, Low Carbon Economy" included, Secretary of State, John Kerry, UN Secretary-General Ban Ki-moon, UNFCCC Executive Secretary, Christian Figueres, and Apple CEO, Tim Cook among many others. * Media coverage smashed all previous records, generating more than 1,300 news stories reaching an estimated 1 billion people across 40 countries helping accelerate the momentum toward the Paris COP-21 negotiations.

Financial Statement Notes

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The Corporation is exempt from federal and state taxes under Section 501(c)(3) of the Internal Revenue Service Code and Section 23701d of the Delaware revenue and Taxation Code, and is considered by the IRS to be an organization other than a private foundation. In the opinion of management, there is no unrelated business income. U.S. GAAP prescribes recognition thresholds and measurement attributes for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. Tax benefits will be recognized only if the tax position is more-likely-than-not sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized will be the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax benefit will be recorded. Management has concluded that they are unaware of any tax benefits or liabilities to be recognized at June 30, 2015 and 2014. The Corporation is no longer subject to examination by U.S. federal taxing authorities and for all state income taxes through 2012. The Corporation does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The Corporation would recognize interest and penalties related to unrecognized tax benefits in interest and income tax expense, respectively. The Corporation has no amounts accrued for interest and penalties as of June 30, 2015 or 2014.

IRS990ScheduleC/SupplementalInformationDetail/ExplanationTxt0The Climate Group spends time in Washington D.C. speaking with legislators on nonpartisan climate related issues. The organization engages in nonpartisan analysis and research of the effects of climate change on the environment. The organization's goal is to educate the community on the effects of high carbon use in order for the public to form an independent opinion or conclusion on the matter. In effect, The Climate Group does not actually engage in direct or grass roots lobbying activities but has in fact filed the 501(h) election in case there are years when extensive lobbying occurs.
