Mission

Scb is nationally recognized as a catalyst for community development projects, civic investment and building infrastructure. Scb's successful model of redevelopment has produced measurable economic results. Because of scb's expertise in developing partnerships for low income housing, scb is able to leverage resources to provide unique solutions and create opportunities for physical, social and economic growth.

Swope community builders (scb) is focused on improving the general well-being of communities. Scb strives to improve communities by reclaiming neighborhoods and developing quality affordable housing and related services.

Governance Explanations

Form 990, Part VI, Section A, Line 3

Scb delegates day-to-day operations and control of the 4001 blue parkway office building and the shops on blue parkway to a management company, colliers international. Colliers supervises personnel and is responsible for budgets and financial management of these commercial and retail properties. Scb management provides oversight of colliers' execution of its management duties. None of scb's current or former officers, directors, key employees or highest compensated employees were compensated by these properties.

Form 990, Part VI, Section A, Line 4

Scb and sce completed a corporate restructuring to end the affiliation of the missouri nonprofit corporations effective as of january 1, 2016. Sce resigned as the sole voting member of scb as of 12:01 a.m. On january 1, 2016. In furtherance of the restructuring, amended and retated articles of incorporation for scb providing for a self-perpetuating board of directors and eliminating any voting members of the corporation were filed with the missouri secretary of state and effective as of january 1, 2016.

The organization had a sole member: swope community enterprises, a nonprofit 501(c)(3) organization, that approves all directors and material transactions of scb. Swope community enterprises converted from a functionally integrated member organization to a nonfunctionally integrated supporting organization in 2014. As of the close of business december 31, 2015, swope community enterprises removed itself as the sole member of swope community builders.

Scb's policy is that all directors, officers and key employees are required annually to complete the conflict of interest disclosure form and provide periodic updates to the form as may be necessary. Conflicts identified through this process will require recusal of the director, officer, or key employee where appropriate.

The organization's board of directors utilizes the sce compensation committee, which is a standing committee of the board of directors of swope community enterprises. This committee periodically reviews and makes recommendations to the full board of directors regarding compensation of the employees which includes the president and other key employees of the organization. None of the employees in the group of officers and key executives whose compensation was discussed, participated in the committee's deliberations pertaining to his/her own compensation. In addition, a third party human resources firm performed a compensation study.

Uncertain tax provisions, if any, are recorded in accordance with fasb asc 740, income taxes (previously fin 48). Fasb asc 740 requires the recognition of a liability for tax positions taken that do not meet the more-likely-than-not standard that the position will be sustained upon examination by the taxing authorities. There is no liability for uncertain tax positions recorded at december 31, 2015, or 2014.

SCB'S RENTAL HOUSING HAS CONSISTENTLY RECEIVED ABOVE AVERAGE RATINGS FROM THE MISSOURI HOUSING DEVELOPMENT COMMISSION.

SCB INCREASED THE SHOPPING CENTER OCCUPANCY TO APPROXIMATELY NINETY PERCENT (90%) AND THUS ALSO INCREASED SERVICES PROVIDED TO THE COMMUNITY DURING 2015. TODAY THE SHOPPING CENTER SERVES OVER 200,000 UNDERSERVED PEOPLE IN THE URBAN CORE. SCB HAS CONTINUED WORKING ON CONTAINING OPERATING EXPENSES IN ORDER TO ATTRACT DESIRABLE TENANTS.
