Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee has and may exercise all of the authority of the board of directors in the management of the organization. The executive committee keeps regular minutes of its proceedings, which are recorded in the minute book of the organization. All actions are reported to the board at its next meeting.

Form 990, Part VI, Section A, Line 2

Board members michael j. Connor and francis dailey have a business relationship.

Form 990, Part VI, Section B, Line 11B

Form 990 is made available to all members of the finance committee and board of directors for review and comment prior to filing.

Form 990, Part VI, Section B, Line 12C

Members are required to fill out the questionnaire which discloses any possible conflicts of interest. The chair of the board and the president review the forms annually to determine if any conflicts exist.

Form 990, Part VI, Section B, Line 15A

The compensation committee of the board of directors is responsible for preparing and approving the compensation package of the foundation's president & ceo to ensure that compensation paid is reasonable and does not result in excessive and inappropriate benefit to private individuals. The committee reviews and approves executive compensation on an annual basis. The organization uses an independent compensation company to review the compensation of the foundation's president & ceo for reasonableness. A complete review is conducted every three years with general updates provided annually. The latest full review was completed in 2024.

Additional Explanations

FORM 990, PART XII, LINE 2C:

The research foundation finance committee oversees the selection of an independent auditor. Cass community health foundation is included in the combined financial statement audit of the research foundation. The independent auditor presents the annual audit to the research foundation and cass community health foundation finance committees. This process has not changed from the prior year.

Financial Statement Notes

PART V, LINE 4:

The research foundation's endowment consists of 27 funds restricted in perpetuity. Endowment earnings are classified as net assets with donor restrictions by time or purpose until those amounts are appropriated for expenditure in accordance with the related endowment agreements. The endowment earnings are restricted for a variety of purposes including scholarships and medical symposiums.

PART X, LINE 2:

The foundations are exempt from federal income taxes under section 501(c)(3) of the internal revenue code and exempt from state income taxes under the laws of the state of missouri. Accordingly, no provision has been made for federal and state income taxes. The foundations assess uncertain tax positions on an annual basis. There has not been interest or penalties recognized in either the combined statement of activities and change in net assets or in the combined statement of financial position related to uncertain tax positions. In addition, no tax positions exist for which it is reasonably possible that the total amounts of unrecognized tax benefits will significantly increase or decrease within the next twelve months. The foundations are no longer subject to federal or state income tax examinations by tax authorities before 2021.
