Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board of directors may designate an executive committee of two or more directors of the foundation. The executive committee may exercise all of the authority of the board of directors in the management of the foundation. The executive committee shall keep regular minutes of its proceedings. The secretary or an assistant secretary of the foundation may act as secretary for the committee if the committee so requests.

Form 990 is made available to all board members, including the finance committee, for review and comment prior to filing.

Form 990, Part VI, Section B, Line 12C

The members of the board of directors are provided with a copy of the conflict of interest policy and a duality of interest questionnaire. Members are required to fill out the questionnaire which discloses any possible conflicts of interest. The chair of the board and the president review the forms annually to determine if any conflicts exist.

Form 990, Part VI, Section B, Line 15A

The compensation committee of the board of directors is responsible for preparing and approving the compensation package of the foundation's president & ceo to ensure that compensation paid is reasonable and does not result in excessive and inappropriate benefit to private individuals. The committee reviews and approves executive compensation on an annual basis. The organization uses an independent compensation company to review the compensation of the foundation's president & ceo for reasonableness. A complete review is conducted every three years with general updates provided annually. The latest full review due in 2024 is currently in progress.

During 2023 we launched our community grants program deepening our investment in health care students and professionals, patients, injury prevention for youth, and the kansas city region. Community grants focus on three primary areas - expanding access to care, promoting health equity, and addressing the health care pipeline.

FORM 990, PART XII, LINE 2C:

The research foundation finance committee oversees the selection of an independent auditor. The independent auditor presents the annual audit to the research foundation and cass community health foundation finance committees. Cass community health foundation is included in the combined financial statement audit of the research foundation. This process has not changed from the prior year.

FORM 990, PART X: BALANCE SHEET

The presentation of form 990, part x, beginning of year balance sheet, was restated in 2023 to remove the assets, liabilities, and net assets owned by cass community health foundation and its disregarded entity, cass county dental clinic, unrelated tax-exempt organizations included in the organization's combined audited financial statements. Since 2003, when all the assets of cass community health foundation were transferred to the research foundation for management, part x has reported the combined balance sheet. The research foundation continues to manage the funds, but ownership of the assets lies with cass community health foundation. Part x has been restated to exclude the assets, liabilities, and net assets of cass community health foundation and its disregarded entity, cass county dental clinic.

Financial Statement Notes

PART V, LINE 4:

The research foundation's endowment consists of 25 funds restricted in perpetuity. One of the purposes of the foundation's investment assets is to provide funds to cover the portion of the foundation's program costs and organizational expenses that are not covered by fees for services or by donations and grants. The foundation's annual budget for each calendar year will allow for spending up to a maximum of 5% of the rolling three-year average of the fair value of the foundation's assets, using fair values as of december 31 of each year. Distributions will be made at the discretion of the board of directors, taking into account the investment performance results and the annual budget needs.

PART X, LINE 2:

The foundation is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and exempt from state income taxes under the laws of the state of missouri. Accordingly, no provision has been made for federal and state income taxes. The foundation assesses uncertain tax positions on an annual basis. There has not been interest or penalties recognized in either the combined statement of activities and change in net assets or in the combined statement of financial position related to uncertain tax positions. In addition, no tax positions exist for which it is reasonably possible that the total amounts of unrecognized tax benefits will significantly increase or decrease within the next twelve months. The foundation is no longer subject to federal or state income tax examinations by tax authorities before 2020.

SCHOLARSHIPS WERE PROVIDED TO 27 STUDENTS IN THE DOCTORAL OF PHYSICAL THERAPY PROGRAMS AT ROCKHURST UNIVERSITY, UNIVERSITY OF MISSOURI, AND UNIVERSITY OF KANSAS. SCHOLARSHIPS WERE PROVIDED TO 12 AREA HIGH SCHOOL STUDENTS TO ATTEND EXPLORE RCON, A 3-DAY IMMERSIVE NURSING EXPERIENCE. THE PROGRAM IS DESIGNED TO HELP HIGH SCHOOL STUDENTS EXPLORE THE FIELD OF NURSING AS A POTENTIAL FUTURE CAREER.OTHER SUPPORT FOR NURSING STUDENTS:THE RESEARCH FOUNDATION FUNDED WHITECOATS/COMMITMENT COATS FOR NURSING STUDENTS AT RESEARCH COLLEGE OF NURSING, AVILA UNIVERSITY AND WILLIAM JEWELL COLLEGE TO CELEBRATE THEIR ENTRANCE INTO THE NURSING PROFESSION. THE FOUNDATION PROVIDED ASSISTANCE THROUGH THE NURSING STUDENT EMERGENCY FUND TO 35 NURSING STUDENTS. THE GRANTS SUPPORTED PROGRAMS THAT EXPAND ACCESS TO CARE, PROMOTE HEALTH EQUITY, AND ENGAGE STUDENTS IN HEALTH CARE CAREERS. A TOTAL OF 31 AGENCIES WERE SELECTED FOR $1,049,000 IN GRANTS.
