Form 990, Part VI, Section A, Line 6

The organization's bylaws defines "member" as any person, organization, foundation, corporation, limited liability company, partnership or association that makes a financial contribution to the organization of at least $1,500 for the fiscal year. Each member is entitled to one vote on each matter submitted to a vote at any meeting of the members. The bylaws require an annual meeting of the members and allow for special meetings of the members as necessary.

The members elect the organization's regular trustees at the annual meeting required within the bylaws. Up to ten (10) positions on the Board of Trustees may be filled at any time during the year by affirmative vote of at least a majority of the Board of Trustees present at a regular or special meeting of the Board of Trustees. A Trustee elected pursuant to a vacancy shall serve until the next annual meeting of the members or until such Trustee's earlier death, resignation, disqualification or removal from office, and such Trustee may be elected for a full succeeding term at the next annual meeting of the Members. Annual discretionary component of the President/Chief Executive Officer's compensation is determined by the Chairman of the Board of Trustees based upon the achievement of established goals and discussion with members of the Executive Committee. The compensation of other officers and key employees is determined primarily by the President/Chief Executive Officer, on an annual basis. Compensation is based upon the achievement of established goals, analysis of data for comparable local and national industry specific positions, and discussions with the members of the Board of Trustees and other constituencies. This process is documented in the personnel files maintained by the President/Chief Executive Officer.

Each year musicians perform free of charge almost 200 times to facilitate musical understanding. In addition, our IN UNISON Program, a partnership between the organization and 40 African-American churches, is designed to forge new musical collaborations at the churches and at Powell Hall.

IRS990/Desc0Code: 711130-Music Programs: The St. Louis Symphony is dedicated to upholding a long and rich tradition of great music. Since 1880, the organization has entertained several generations of individuals in various concert halls, public parks, schools, churches and elsewhere. Nearly 250,000 people attend live music presentations every year; with an additional 360,000 (estimated) listening to the Symphony via radio, internet and television broadcasts. In addition to the concerts at Powell Hall, more than one-third of the organization's audiences hear musicians perform at parks, schools, churches and other venues throughout the region. In addition, more than 27% of the total audience for all the performances during the year pays little or nothing to hear those performances. The organization's best-known educational program is its series of education concerts in Powell Hall, which began in the 1920s and today serve over 24,680 students annually. In addition to educating and entertaining youngsters at Powell Hall, the staff and musicians make over 80 visits to local schools each season. Many of these visits occur through the E.
