The Committee recommends the CEOs Bonus to the full Board which then reviews and determines the final bonus. The Board also reviews the bonuses of Senior Management.”

“Independent Directors meet to set an overall incentive compensation pool based on firm performance compared to budget and a full range of non financial performance related goals. In addition this group sets the compensation of the CEO based on those performance measures and data on compensation for other CEOs for comparable sized organizations. It is unfortunate given that data that we are unable to pay her more given her value to the organization and her national standing in carrying out our mission.”
