Governance Explanations

Form 990, Part VI, Section B, line 11

The 990 is first completed and reviewed by the chief financial officer (cfo), in consultation with the chief executive officer (ceo), as well as the organization's external audit firm. Upon initial completion, the ceo and cfo provide a draft copy of the form 990 first to the organization's finance committee and then to the full board of directors. The form 990 is discussed in its entirety and any necessary revisions as a result of the review are made. The form 990 is then filed with the internal revenue service within the prescribed deadline.

Form 990, Part VI, Section B, line 12C

The conflict of interest policy was approved by the board of directors. As a regular part of our board meeting agenda, the directors are asked if they have any conflicts of interest that must be disclosed. The individual board members are asked annually to sign off on a conflict of interest statement. The ceo and cfo also routinely monitor activities of the organization for any evidence of conflicts of interest.

Form 990, Part VI, Section B, line 15A

The executive committee of the board of directors also serves as the compensation committee of the organization, in charge of reviewing the overall compensation package of the ceo as well as the budgeted pay increase pool in the operating budget. The ceo review process is done periodically (no more than annually) and includes review of outside data from other form 990's. The results of the review are documented in the personnel file of the ceo. This process was last completed in 2015.
