The organization will have at all times a minimum of thirty-five members, all of which reside or do business in our area of operations. The membership term is perpetual and will commence upon appointment.

The board of directors are elected by the members of the organization. At each october meeting of members, the membership elects directors to hold office until the next october meeting.

Form 990, Part VI, Section B, Line 11

The audit committee and management perform a detailed review of the 990 return prior to its finalization. Once the audit committe approves the 990 for filing the board of directors ratifies the action. The board of directors is provided a draft of the 990 return prior to ratification.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is monitored and enforced on an ongoing basis. Board members are required to disclose conflicts of interest prior to voting on matters and must then abstain from voting if they have a conflict of interest. The board minutes note the board members who abstained from voting due to a conflict of interest.

The executive committee reviews and approves the compensation package for the executive director/president. The executive committee uses industry compensation surveys and/or 990 comparisons for this determination. The executive director/president also presents an annual budget to the executive committee which details the overall proposed compensation to all employees. The executive committee in turn makes a recommendation to the full board of directors, followed by a vote, for approval of the annual budget.

Financial Statement Notes

PART X, LINE 2:

Twin cities-metro is classified as a tax-exempt organization under section 501(c)(4) of the internal revenue code and related state statutes. U.s. Gaap requires management to evaluate tax positions taken by twin cities-metro and recognize a tax liability if twin cities-metro has taken an uncertain position that more likely than not would not be sustained upon examination by the irs. Management has analyzed the tax positions taken by twin cities-metro and has concluded that as of september 30, 2014 there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. Twin cities-metro is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Twin cities-metro believes it is no longer subject to tax examinations for years prior to fiscal year 2011.

MANAGEMENT HAS ANALYZED THE TAX POSITIONS TAKEN BY TWIN CITIES-METRO AND HAS CONCLUDED THAT AS OF SEPTEMBER 30, 2014 THERE ARE NO UNCERTAIN POSITIONS TAKEN OR EXPECTED TO BE TAKEN THAT WOULD REQUIRE RECOGNITION OF A LIABILITY OR DISCLOSURE IN THE FINANCIAL STATEMENTS.
