“In 2015, the board approved various changes to the organizations bylaws, specifically updating and streamlining officer terminology and methods of convening (electronic/phone). Northern clay center re-established committees for building, exhibitions, special events, and board development, and approved new charters for the majority of these committees, as well as the executive committee charter.”

“The audit/finance committee reviews the 990 form and makes a recommendation to the board for approval. The final 990 form is sent electronically to all voting members of the board for review prior to its filing.”

“The board and staff receive a copy of the conflict of interest policy each year and sign a statement concerning conflicts of interest. The statement states the relationship to northern clay center, receipt of a copy of the policy, acknowledgmrnt of reading and understanding the policy, and agreement to comply with the policy and disclose any conflicts of interest prior to any decisions.”

“Every couple of years, the executive director reviews the most current version of a compensation survey prepared by the minnesota council of nonprofits. This survey shows pay levels and other compensation in the nonprofit field. The center matches position descriptions as closely as possible, and then looks at the range of compensation across the type, scale, and location of organizations (arts, budget size, twin cities). The center also reviews trends in such areas as paid time off, retirement contributions, health insurance, etc. The board's policy is to try to fall within the 75th to 90th percentile of average compensation.”
