Governance Explanations

Form 990, Part VI, Section A, Line 1A

An executive committee comprised of the officers of the corporation and such other persons as may be appointed by the board of directors may act on behalf of the board during intervals between meetings of the board of directors. During such intervals and subject to the board's control and direction, the executive committee shall have and may exercise all of the authority and powers of the board of directors subject to such limitations as the board may impose from time to time and those limitations in place according to minnesota law. Unless specifically authorized by the board of directors by resolution approved by the affirmative vote of a majority of the directors, the executive committee shall not have the authority and power to elect officers, to amend the articles of incorporation, to adopt a plan or merger or consolidation, to authorize the sale or other disposition of all or substantially all of the property and assets of the corporation, to hire or terminate the officers of the corporation, to authorize a voluntary dissolution of the corporation or a revocation thereof, or to amend these bylaws.

The extent of the vail place 41-1394766 review includes an initial review by management, executive director, finance director, and finance committee, who then presents to the board for final approval.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict-of-interest policy that applies to board members, officers, and key employees. Board members must disclose, in writing, on an annual basis the potential for a conflict of interest. The executive director and executive committee are responsible for monitoring the potential conflicts of interest. If an action arises during a board or committee meeting and such action may result in a conflict of interest, the conflicted individual must disclose all material facts concerning the relationship. The conflicted individual may not be present for discussions of the topic, except to answer questions. The conflicted individual may not be present for any vote on the action, unless the vote is by secret ballot. If an officer or key employee has a real or potential conflict of interest, they must disclose the relevant facts to the board chair or the chair's designee and they must refrain from any action that may affect vail place's participation in the contract or transaction. If it is not entirely clear whether a conflict exists, the board chair or the chair's designee makes the determination. All proceedings related to conflicts of interest are documented in the meeting minutes.

Form 990, Part VI, Section B, Line 15

The board chair along with the executive committee handles the annual performance evaluation for the president and executive director. The review includes, but is not limited to, the following: a review of the annual salary in comparison with similar positions in the twin cities, statewide, and nationwide; feedback solicited from the executive director's direct reports; feedback from a representative group of staff across all divisions; feedback from all board members; and measures of performance established in partnership between the board and the executive director. Feedback results are provided to the board of directors via our hr division and are considered in addition to the self-evaluation solicited from the executive director. Any compenstation adjustment is determined using the outcome of the perfoamnce evaluation process. The process described here was last completed in 2023.

Financial Statement Notes

PART IV, LINE 2B:

Vail place acts as an agent for certain assets. The related agreements have stipulations that the assets be passed on to certain individuals or entities as directed by the sponsoring organization.

PART V, LINE 4:

Funds held at the minneapolis foundation consist of the alene grossman memorial endowment fund (the agmef). The assets are stated at fair value, which was determined based on quoted market prices. The agmef was transferred from vail place to the minneapolis foundation during 1997 to enhance investment return opportunity. Under the agreement with the minneapolis foundation, the agmef will remain at the minneapolis foundation as an endowment fund. At its discretion, the minneapolis foundation may terminate the agreement and the balance of agmef will be returned to vail place. The terms of the endowment agreement that accompanied the original agmef gift are still in effect. Vail place is required to maintain the principal balance, adjusted annually for inflation, in the endowment fund in perpetuity, through additional contributions and accumulated earnings.

PART X, LINE 2:

Vail place is a nonprofit organization as described in section 501(c)(3) of the internal revenue code and is exempt from federal and state income taxes. Vail in the park, llc and hds transition llc are single member llcs and all of its activities are included on the filings with vail place. The organization follows guidance in the income tax standard regarding the recognition of uncertain tax positions. The organization did not have any uncertain tax positions as of december 31, 2023 and 2022.

WE SERVED 212 PEOPLE PRIOR TO THE PROGRAM CLOSING.
