The organization's executive director, board members, and management reviews the form 990 before it is filed with the irs. The extent of the review includes an initial review by the review by management and executive director, finance director, and finance committee, who then presents to the board for final approval.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy that applies to board members, officers, and key employees. Board members must disclose, in writing, on an annual basis the potential for a conflict of interest. The executive director and executive committee are responsible for monitoring the potential conflicts of interest. If an action arises during a board or committee meeting and such action may result in a conflict of interest, the conflicted individual must disclose all material facts concerning the relationship. The conflicted individual may not be present for discussions of the topic, except to answer questions. The conflicted individual may not be present for any vote on the action, unless the vote is by secret ballot. If an officer or key employee has a real or potential conflict of interest, they must disclose the relevant facts to the board chair or the chair's designee and they must refrain from any action that may affect vail place's participation in the contract or transaction. If it is not entirely clear whether a conflict exists, the board chair or the chair's designee makes the determination. All proceedings related to conflicts of interest are documented in the meeting minutes.

Additional Explanations

Form 990, Part III, Line 2

Newly launched in 2020, housing stabilization services is a brand-new minnesota medical assistance benefit to help seniors and people with disabilities, including mental illness and substance use disorder, find and keep housing. Housing stabilization services is a home and community based service. As directed by the 2017 legislature, the minnesota department of human services applied to the center for medicare and medicaid services to add housing stabilization services to minnesota's medicaid plan. The purpose of this initiative in to support an individual's transition into housing, increase long-term housing stability in the community, and avoid future periods of homelessness or institutionalization.

Partnership with bethlehem lutheran church "mental health connect", where vail place staff assisted individuals and families in obtaining mental health treatment, resources, support and education, wound-down and closed at the end of july 2020 due to covid-19.

Financial Statement Notes

PART IV, LINE 2B:

Vail place acts as an agent for certain assets. The related agreements have stipulations that the assets be passed on to certain individuals or entities as directed by the sponsoring organization.

PART V, LINE 4:

Funds held at the minneapolis foundation consist of the alene grossman memorial endowment fund (the agmef). The assets are stated at fair value, which was determined based on quoted market prices. The agmef was transferred from vail place to the minneapolis foundation during 1997 to enhance investment return opportunity. Under the agreement with the minneapolis foundation, the agmef will remain at the minneapolis foundation as an endowment fund. At its discretion, the minneapolis foundation may terminate the agreement and the balance of agmef will be returned to vail place. The terms of the endowment agreement that accompanied the original agmef gift are still in effect. Vail place is required to maintain the principal balance, adjusted annually for inflation, in the endowment fund in perpetuity, through additional contributions and accumulated earnings.

PART X, LINE 2:

Vail place is a not-for-profit organization as described in section 501(c)(3) of the internal revenue code and is exempt from federal and state income taxes. Vail in the park, llc is a single member llc and all of its activities are included on the filings with vail place. The organization follows guidance in the income tax standard regarding the recognition of uncertain tax positions. The organization did not have any uncertain tax positions as of december 31, 2020 and 2019.
