The organization has an executive committee consisting of the officers of the board of directors. The executive committee has all of the powers and authority of the board in the management of the property, business, and affairs of the organization in the intervals between meetings of the board, subject to the direction and control by the board.

The members of the finance committee review the form 990 in detail; if approved, the treasurer presents it to the entire board of directors for review with a resolution to accept.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy that applies to board members, officers, and key employees. Board members must disclose, in writing, on an annual basis the potential for a conflict of interest. The executive director and executive committee are responsible for monitoring the potential conflicts of interest. If an action arises during a board or committee meeting and such action may result in a conflict of interest, the conflicted individual must disclose all material facts concerning the relationship. The conflicted individual may not be present for discussions of the topic, except to answer questions. The conflicted individual may not be present for any vote on the action, unless the vote is by secret ballot. If an officer or key employee has a real or potential conflict of interest, they must disclose the relevant facts to the board chair or the chair's designee and they must refrain from any action that may affect vail place's participation in the contract or transaction. If it is not entirely clear whether a conflict exists, the board chair or the chair's designee makes the determination. All proceedings related to conflicts of interest are documented in the meeting minutes.

The board chair along with the executive committee handles the annual performance evaluation (note, vail place takes a 360 approach to all performance evaluations including the executive director), along with annual salary comparison to like positions in the twin cities. Form 990, Part III, Line 2

Results focused model is a new program started in the fall of 2019. The program is an integrated care model designed to provide intensive outreach to engage individuals experiencing mental illnesses, chronic substance use disorders and a variety of social and health related consequences. The goal of the program is to improve the health and stability of individuals and subsequently reduce healthcare costs through intensive outreach, interventions and referrals to necessary services, providers and programs. 46 individuals referred to the program, 22 opened as of 12/31/19.

Financial Statement Notes

PART IV, LINE 2B:

Vail place acts as an agent for certain assets. The related agreements have stipulations that the assets be passed on to certain individuals or entities as directed by the sponsoring organization.

PART V, LINE 4:

Funds held at the minneapolis foundation consist of the alene grossman memorial endowment fund (the agmef). The assets are stated at fair value, which was determined based on quoted market prices. The agmef was transferred from vail place to the minneapolis foundation during 1997 to enhance investment return opportunity. Under the agreement with the minneapolis foundation, the agmef will remain at the minneapolis foundation as an endowment fund. At its discretion, the minneapolis foundation may terminate the agreement and the balance of agmef will be returned to vail place. The terms of the endowment agreement that accompanied the original agmef gift are still in effect. Vail place is required to maintain the principal balance, adjusted annually for inflation, in the endowment fund in perpetuity, through additional contributions and accumulated earnings.

PART X, LINE 2:

Vail place is a not-for-profit organization as described in section 501(c)(3) of the internal revenue code and is exempt from federal and state income taxes. Vail in the park, llc is a single member llc and all of its activities are included on the filings with vail place. The organization follows guidance in the income tax standard regarding the recognition of uncertain tax positions. The organization did not have any uncertain tax positions as of december 31, 2019 and 2018.

OUR SERVICE COORDINATORS WORK DIRECTLY WITH RESIDENTS AT DESIGNATED PUBLIC HOUSING BUILDINGS TO PROVIDE EDUCATION, CONSULTING, PROGRAMMING, AND RESOURCES. 186 PEOPLE WERE SERVED.B. LOUISIANA COURT IN PARTICIPATION WITH PPL, VAIL PLACE HAS 18 UNITS OF AFFORDABLE HOUSING IN ST LOUIS PARK FOR LONG-TERMS HOMELESS INDIVIDUALS WHO HAVE SERIOUS AND PERSISTENT MENTAL ILLNESS. HOUSING STAFF WORK WITH COORDINATED ENTRY TO FILL VACANCIES AND TENANTS PAY 30% OF THEIR INCOME AND ARE RESPONSIBLE FOR UTILITIES. 19 PEOPLE WERE SERVED.C. VAIL IN THE PARK VAIL PLACE OWNS AN 8-UNIT APARTMENT BUILDING IN ST LOUIS PARK CALLED VAIL IN THE PARK. IT IS A PERMANENT SUBSIDIZED HOUSING SETTING WHERE TENANTS PAY 30% OF THEIR INCOME TOWARD RENT. ALL UNITS ARE FILLED THROUGH VAIL PLACE'S INTERNAL WAITING LIST AND ASSIGNED TO A HOUSING SPECIALIST FOR SUPPORT IN MAINTAINING HOUSING. 11 PEOPLE WERE SERVED.MENTAL HEALTH CONNECTAN INTERFAITH COLLABORATIVE THAT WORKS TO REDUCE MENTAL HEALTH STIGMA THROUGH EDUCATION AND SHORT-TERM SERVICES.16 CHURCHES INVOLVED IN THE COLLABORATIVE AT END OF YEAR; 91 TOTAL SERVED; 37 AVERAGE NUMBER OF SERVICE DAYS.RESULTS FOCUSED MODEL RESULTS FOCUSED MODEL IS A NEW PROGRAM STARTED IN THE FALL OF 2019. THE PROGRAM IS AN INTEGRATED CARE MODEL DESIGNED TO PROVIDE INTENSIVE OUTREACH TO ENGAGE INDIVIDUALS EXPERIENCING MENTAL ILLNESSES, CHRONIC SUBSTANCE USE DISORDERS AND A VARIETY OF SOCIAL AND HEALTH RELATED CONSEQUENCES. THE GOAL OF THE PROGRAM IS TO IMPROVE THE HEALTH AND STABILITY OF INDIVIDUALS AND SUBSEQUENTLY REDUCE HEALTHCARE COSTS THROUGH INTENSIVE OUTREACH, INTERVENTIONS AND REFERRALS TO NECESSARY SERVICES, PROVIDERS AND PROGRAMS. 46 INDIVIDUALS REFERRED TO THE PROGRAM, 22 OPENED AS OF 12/31/19.
