Governance Explanations

FORM 990, PART VI, SECTION A, LINE 1:

Executive committee: the officers serve as the members of the executive committee. Except for the power to amend the articles of incorporation and bylaws, the executive committee has all the powers and authority of the board of directors in the intervals between meetings of the board of directors, and is subject to the direction and control of the full board.

FORM 990, PART VI, SECTION B, LINE 11B:

The form 990 was reviewed by management and then reviewed and approved by the board of directors. Copies of the form 990 were provided to all board members prior to filing.

FORM 990, PART VI, SECTION B, LINE 12C:

The conflict of interest policy covers officers, employees and members of the organization's board of directors. Covered individuals annually complete a disclosure form identifying any relationships, positions or circumstances in which the responsible person is involved that he or she believes could contribute to a conflict of interest arising. Prior to board or committee action on a contract or transaction involving a conflict of interest, a director or committee member having a conflict of interest and who is in attendance at the meeting shall disclose all facts material to the conflict of interest. Such disclosure shall be reflected in the minutes of the meeting. A person who has a conflict of interest shall not participate in or be permitted to hear the board's or committee's discussion of the matter except to disclose material facts and to respond to questions. Such person shall not attempt to exert his or her personal influence with respect to the matter, either at or outside the meeting.

FORM 990, PART VI, SECTION B, LINE 15A:

The compensation of the executive director is determined using external market data (minnesota council of nonprofits compensation survey). A composite of three relevant cross-sections of data is considered: twin cities organizations, organizations with operating budgets between $2.0m and $5.0m, and human services/youth development organizations. The executive director's salary range midpoint is positioned in the 3rd quartile of the market data; range spread is 50%. The executive director's salary is determined based on annual performance and position in the salary range. This process was last undertaken in october 2016 and included an outside assessment by a third party for the executive director's salary. All employees (including the executive director) are paid within a base salary system that includes salary ranges positioned inthe 3rd quartile of the market (data from minnesota council of nonprofits compensation survey), performance ratings from a performance apraisal process, and a merit increase guide that indicates an increase percent based on the employee's performance and position in the salary range. The process was last performed in december 2017.

FORM 990, PART VI, SECTION C, LINE 19:

The organization's financial statements are made available to the public in the annual report which is made available on the organization's website. The organization's governing documents and conflict of interest policy are made available to pubilc upon request.

This includes simultaneous education and career readiness assessment, developing education and career competencies through instruciton in independent living skills, individualized tutoring to prepare for the GED, guidance to re-enroll and stay in local schools, first level pre-career internships linked to education training, post-secondary application assistance and fee assistance, financial aid form assistance, classes on personal finance and budgeting, resume building, job search, cooking classes, and ongoing employment subsidy support for youth employed. Youth Opportunity Center: YouthLink hosts and operates the Youth Opportunity Center (YOC) onsite. The YOC brings together multiple nonprofits, services and resources in one place, providing a "one-stop shop" for homeless youth. At present, 32 partnering agencies provide a comprehensive array of support services at the YOC to nearly 2,000 youth annually. These partners are on site at different times throughout a month. At the core of the YOC is the full-service crisis drop-in center -- a low-barrier, basic needs service operating year-round, Monday thru Friday, from 9am to 9am; Saturday - Sunday, 6pm to 9am. Drop-in / Extended Hours Overnight Services: Thanks to a major gift from the Frey Foundation in 2020 ($700,000), YouthLink has now extended day-time drop-in hours to be open overnight. On weekdays, the drop-in is open 24/7, during the weekends it is open from 6pm-9am. Basic needs, food, showers, washers/dryers and staff navigators are all available to young people. Additionally young people are connected to resources for long-term stability support services.
