A member may be one individual or a family of individuals that is counted as one for the purposes of paying dues and voting. A member accepts the mission of nami minnesota and shall have paid dues to the state organization or to an affiliate unless waived by the affiliate or state organization. The membership dues shall be split between the affiliate, nami minnesota and nami. Members may become members through an "open door" policy that allows for a reduced dues payment. "open door" members are defined by income or economic necessity. All members shall have the same rights and privileges regardless of the amount of dues paid.

Form 990, Part VI, Section A, Line 7A

Each member shall be entitled to cast one vote in person upon each matter submitted to a vote at a meeting of members. Each member shall be entitled to cast one vote in person for each director to be elected. No cumulative voting for directors shall be permitted. No proxy or voting agreements are permitted.

Form 990, Part VI, Section A, Line 7B

An annual meeting of the members of the organization will be held during each calendar year, on the date and at the time and place set by the board of directors, for the purpose of electing directors and for the transaction of such other business as may come before the meeting. All meetings of the board, its committees and the organization shall be governed by robert's rules of order. Generally, members vote on board members and changes to the bylaws.

Form 990, Part VI, Section B, Line 11B

The nami minnesota finance committee shall present the annual form 990 to the board for approval before filing. A representative from the firm hired to prepare the form 990 must be present to explain it and answer questions.

These will be recorded in the board minutes.

Form 990, Part VI, Section B, Line 15

The nami minnesota board of directors shall establish the salary of the executive director based on the annual survey of salaries conducted by the minnesota council of nonprofits. In addition the board will take into account the performance of the executive director measured against the job description, annual plan and strategic plan. The review will occur annually.

Financial Statement Notes

PART IV, LINE 2B:

Funds held for others consist of amounts which are held for others in either a fiscal agency or fiscal sponsorship capacity. The amounts held as a fiscal agency are ones in which nami acts as an agent or intermediary and performs back office activities. The amounts held as a fiscal sponsor are held for specific projects which nami sponsors.

PART V, LINE 4:

The purpose of the endowment funds is to ensure financial stability by providing a steady stream of investment income which is available for restricted and unrestricted purposes.

PART X, LINE 2:

The organization is exempt from income taxes under section 501(c)(3) of the internal revenue code and section 290.05 of the minnesota statutes and is only subject to federal and state income taxes on net unrelated business income. The organization did not have any unrelated business income tax for 2021 or 2020. The organization is a publicly-supported organization and contributions to it qualify as a charitable tax deduction for the contributors as permitted by law. The organization has not been audited recently; and accordingly, the information tax returns for the past three years are open to examination. Management has evaluated its tax positions and has concluded that they do not result in anything that would require either recording or disclosure in the financial statements based on the criteria set forth in asc 740.

IRS990/Desc0EDUCATION:OPERATING IN A PANDEMIC IS HARD, ESPECIALLY SINCE SO MUCH OF NAMI MINNESOTA'S WORK INVOLVES CONNECTING TO PEOPLE. BUILDING ON WHAT WE LEARNED DURING THE LAST QUARTER OF FY 2020, WE MANAGED TO INCREASE THE NUMBER OF PEOPLE SERVED THROUGH OUR CLASSES AND MAINTAINED 50% OF OUR SUPPORT GROUPS. KNOWING THAT THERE ARE INCREASED NEEDS FOR MENTAL HEALTH EDUCATION AND SUPPORT DUE TO THE IMPACT OF THE PANDEMIC, WE ARE PROUD OF OUR EFFORTS TO MEET THE DEMANDS ACROSS THE STATE. IN FISCAL YEAR 2021, NAMI DOUBLED THE NUMBER OF CLASSES FOR FAMILY MEMBERS WHO HAVE AN ADULT RELATIVE WITH A MENTAL ILLNESS, REACHING 200% MORE PEOPLE THAN THE YEAR BEFORE. FOR FAMILIES OF CHILDREN, WE HAD TO SIGNIFICANTLY CHANGE HOW THE INFORMATION WAS PRESENTED DUE TO THE FACT THAT PARENTS, WHO WERE TRYING TO WORK AND SUPPORT DIRECT DISTANCE LEARNING, HAD LITTLE TIME AND LITTLE FLEXIBILITY IN THEIR SCHEDULES. WE CREATED "NAMI MOMENTS" WHICH WERE 15 TO 25-MINUTE SEGMENTS AND WE TAPED OTHER CLASSES COVERING A WIDE RANGE OF TOPICS FROM WELLNESS ISSUES SUCH AS NUTRITION AND SLEEP, TO HOW TO HELP A CHILD WITH ANXIETY COPE DURING A PANDEMIC. THE NUMBER OF PEOPLE WHO CLICKED ON THE NINE VIDEOS WERE 760 AND WE HAD OVER 500 PEOPLE ATTEND THE CLASSES LIVE. ROUGHLY 200 PEOPLE WATCHED ONE OF THREE FAMILY EDUCATION VIDEOS IN SPANISH. NAMI RUNS TWO PROJECTS IN DAKOTA AND SCOTT COUNTIES WHERE WE PROVIDE ONE-ON-ONE ASSISTANCE AND OFFER EDUCATION AND SUPPORT. NAMI MINNESOTA IS ALSO A PART OF THE CHILDREN'S SYSTEM OF CARE GRANT, FOCUSING ON ENSURING PARENT AND FAMILY ENGAGEMENT IN THE DESIGN OF THE MENTAL HEALTH SYSTEM. THROUGH THAT GRANT WE WERE ABLE TO EDUCATE OVER 470 COUNTY STAFF AND 184 FAMILIES ON THE IMPORTANCE OF A FAMILY DRIVEN MENTAL HEALTH SYSTEM. OUR FAMILY PEER SPECIALIST IS UNDER A PARTIAL CONTRACT WITH THREE OF THE PROGRAMS RUNNING A FIRST EPISODE OF PSYCHOSIS PROGRAM TO PROVIDE EDUCATION AND SUPPORT TO FAMILIES WHOSE TEEN OR YOUNG ADULT IS EXPERIENCING A FIRST PSYCHOTIC EPISODE. NAMI MINNESOTA OFFERED 55 CLASSES ONLINE REACHING NEARLY 2,000 PEOPLE. CLASSES PROVIDED INFORMATION ON TOPICS SUCH AS TARDIVE DYSKINESIA, SCHOOL ANXIETY, EATING DISORDERS, GAMING ADDICTION, POSITIVE PSYCHOLOGY, AND MINDFULNESS. WE COLLABORATED WITH THE MN ASSOCIATION FOR CHILDREN'S MENTAL HEALTH TO PRESENT A SPECIAL PROGRAM FOR TEACHERS BEFORE THEY WENT BACK INTO THE SCHOOLS IN FEBRUARY TO HELP THEM ADDRESS THE MENTAL HEALTH NEEDS OF CHILDREN AND WE PARTNERED WITH THE MPLS VA TO ADDRESS GRIEF OF VETERANS DURING MEMORIAL DAY.DISTANCE LEARNING MADE IT DIFFICULT TO REACH HIGH SCHOOL STUDENTS, BUT WE STILL MANAGED TO DELIVER A NATIONAL NAMI PROGRAM CALLED ENDING THE SILENCE, TO OVER 4,000 HIGH SCHOOL STUDENTS. WE ALSO CREATED A CLASS FOR STUDENTS ON DEALING WITH ANXIETY. DURING CHILDREN'S MENTAL HEALTH MONTH, WE HELD A DAILY STORY-TIME THE FIRST WEEK WHICH FEATURED CHILDREN'S BOOKS BEING READ BY LOCAL CELEBRITIES INCLUDING LT. GOV. PEGGY FLANAGAN, KARE 11'S GIA VANG, VIKINGS PLAYER HARRISON HAND, REP. CARLOS MARIANI ROSA, CONGRESSMAN TOM EMMER, AUTHOR DR. MELISSA MUNRO BOYD, AND EDUCATION COMMISSIONER MARY CATHRYN RICKER. THE SUICIDE RATE ACTUALLY WENT DOWN IN 2020 BUT HAD REACHED AN ALL-TIME HIGH IN 2019. WHILE SOME OF THE EVIDENCE-BASED PROGRAMS WERE NOT ALLOWED TO BE PRESENTED VIRTUALLY, SUCH AS ASIST OR SAFETALK, NAMI FOCUSED ON QPR AND WAS ABLE TO DOUBLE THE NUMBER OF QPR CLASSES TAUGHT AND WE REACHED TWICE AS MANY PEOPLE AS LAST YEAR (1,227). WE WERE ABLE TO OFFER IT IN SPANISH AS WELL. WE WERE ABLE TO PROVIDE THE CALM CLASS WHICH TEACHES MEANS RESTRICTION SIX TIMES AND DONATED OVER 100 LOCKBOXES TO CRISIS TEAMS AND EMERGENCY DEPARTMENTS TO DISTRIBUTE TO PARENTS TO HELP KEEP THEIR CHILDREN SAFE. WE CONTINUED TO COLLABORATE WITH UMASH TO BRING SUICIDE PREVENTION TO FARM COMMUNITIES, AND WITH THE SUICIDE SURVIVORS CLUB TO HELP FAMILIES HEAL AFTER A SUICIDE. A VARIETY OF PROFESSIONALS REACH OUT TO NAMI FOR EDUCATION INCLUDING TEACHERS, PEOPLE WHO WORK WITH OLDER ADULTS AND MENTAL H

WHILE FOUNDATION MONEY IS NOT USED TO FUND OUR PUBLIC POLICY EFFORTS, IT IS AN IMPORTANT PART OF OUR WORK TO MAKE SURE THE MENTAL HEALTH SYSTEM CONTINUES TO BE BUILT TO MEET THE MENTAL HEALTH NEEDS OF MINNESOTANS. NAMI IS ALSO VIEWED AS THE "GO TO ORGANIZATION FOR THE MEDIA WITH ITS EXECUTIVE DIRECTOR FREQUENTLY INTERVIEWED OVER 55 TIMES ON ISSUES RELATED TO MENTAL ILLNESSES AND THE MENTAL HEALTH SYSTEM.
