Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee consists of the officers of the board and the immediate past president of the board. The executive committee is at all times subject to the control and direction of the entire board. The executive committee advises the president as to the appointment of committee chairs and members. The executive committee has the authority to act in the name of the board between regularly scheduled meetings of the board, except that the executive committee does not have authority to elect directors or officers, or act with respect to any matters specifically reserved for action by the entire board.

Copies of the annual audit and form 990 are sent to board members for adoption at the monthly meeting.

Form 990, Part VI, Section B, Line 12C

The theatre's conflict of interest policy covers officers, directors, and employees who may influence the decisions of the organization. The board (or committee thereof) shall determine whether a conflict exists and in the case of an existing conflict, whether the contemplated transaction may be authorized as just, fair, and reasonable to park square theatre. The decision of the board (or committee thereof) on these matters will rest in their sole discretion, and their concern must be the welfare of park square theatre and the advancement of its purpose. Individuals with conflicts of interest may not participate in the discussion or approval of the transaction. Proceedings are documented in the meeting minutes.

Form 990, Part VI, Section B, Line 15

The board issued its first employment contract for the executive director, which established baseline compensation and benefits. Compensation for the artistic director was set in the budgeting process to equal that of the executive director. The full board reviews and approves compensation through the budget recommended by the finance committee. The process for approving the budget including compensation changes is documented in the meeting minutes and budget documents. The process to perform a thorough review of the compensation for the executive director and artistic director was last undertaken for each position in july 2013.

The theatre's artwork consists of donated artwork recorded at the fair market value on the date of contribution.

PART X, LINE 2:

The organization is classified as a tax-exempt organization under section 501(c)(3) of the internal revenue code and, accordingly, is not subject to federal income taxes. As such, it is subject to federal and state income taxes on net unrelated business income. The organization currently has no net unrelated business taxable income. The organization adopted the accounting standards for contingencies in evaluating uncertain tax positions and files as a tax-exempt organization. No liability has been recognized by the organization as a result of the implementation of this standard. Should that status be challenged in the future, all years since inception could be subject to review by the irs. Its 2011, 2012, and 2013 tax years are open for examination by the irs.

IRS990/ProgSrvcAccomActy2Grp/Desc0TEEN PROGRAMMING-FOR 17 YEARS PARK SQUARE'S EDUCATION PROGRAM HAS BEEN PROVIDING CURRICULUM-RELEVANT PROGRAMMING FOR STUDENTS AND TEACHERS IN MINNESOTA, WISCONSIN AND IOWA. OUR 3M STUDENT SERIES, WHICH WAS AWARDED THE 2005 SALLY ORDWAY IRVINE AWARD FOR EDUCATION EXCELLENCE, LAST YEAR SERVED 20,629 STUDENTS FROM MORE THAN 300 SCHOOLS. THE EDUCATIONAL COMMUNITY WE SERVE INCLUDES MIDDLE- AND HIGH-SCHOOL TEACHERS AND THEIR STUDENTS (AGED 12-18) FROM ALL KINDS OF SCHOOLS: OF THE NEARLY 21,000 STUDENTS WHO ATTENDED LAST YEAR, 19% WERE FROM URBAN SCHOOLS, 36% SUBURBAN AND 44% RURAL. AND, ALTHOUGH SCHOOLS CANNOT PROVIDE SPECIFIC STATISTICS, FROM OBSERVATION WE ESTIMATE STUDENTS OF COLOR COMPRISE 28% OF OUR SCHOOL AUDIENCE.TO SERVE THE BROADEST POSSIBLE RANGE OF SCHOOLS AND DISCIPLINES THIS SEASON, PARK SQUARE IS OFFERING 156 PERFORMANCES (FROM 71 LAST YEAR) OF NINE PRODUCTIONS (UP FROM FIVE LAST YEAR) THAT INCLUDE CURRICULUM-BASED CLASSICS AND WORKS DEEP IN SOCIAL CONTENT. PARK SQUARE'S APPROACH TO STUDENTS IS MISSION-DRIVEN AND AUTHENTIC. FOR US, YOUNG PEOPLE ARE NOT A GROUP SALES TARGET OR PART OF AN ELITE "OUTREACH" PROJECT. THEY ARE AN ESSENTIAL PARK SQUARE AUDIENCE. STUDENTS SEE EXCEPTIONAL SHOWS FILLED WITH TOP-QUALITY TALENT. THE ARTS EDUCATION PROGRAM IS CAREFULLY DESIGNED TO BE "AN EVENING OF THEATRE DURING THE DAY," WITH SPECIALLY TRAINED STAFF, RESERVED SEATING, PROFESSIONAL PLAYBILLS, AND THE OTHER AMENITIES EVERY AUDIENCE DESERVES. STUDY GUIDES (AVAILABLE FREE AND ONLINE) ARE WRITTEN BY AND FOR PRACTICING TEAHCHERS. EACH GUIDE INCLUDES BACKGROUND INFORMATION FOR THE CLASSROOM TEACHER, AS WELL AS DISCUSSION QUESTIONS AND ACTIVITIES. THE IMMERSION DAY TURNS THE WHOLE FACILITY INTO A SCHOOL FOR THE DAY, WITH SMALL GROUP ARTIST-LED WORKSHOPS, BUILD A MOMENT WORKSHOP WITH DESIGNERS AND ACTORS, PERFORMANCE, AND POST-SHOW DISCUSSION. PARK SQUARE RECOGNIZES THAT SOME LEARNING CAN TAKE PLACE BEST OUTSIDE THE CLASSROOM, WHICH IS WHY TEACHERS CONTINUE TO DEMAND THEATRE PROGRAMMING RELEVANT TO CURRICULAR NEEDS, EVEN THOUGH THE LOGISTICS AND EXPENSE OF ORGANIZING A FIELD TRIP CAN BE CHALLENGING. STUDIES CONTINUE TO EMPHASIZE THE STRONG ROLE ARTS PARTICIPATION PLAYS IN INCREASING KEY COGNITIVE BRAIN FUNCTIONS. THEATRE HELPS TEACHERS: 1) CONNECT STUDENTS TO LITERATURE. MANY TEACHERS FIND THAT BRINGING THE BOOK OR SCRIPT TO LIFE IS THE PRIMARY BENEFIT THEY SEEK FROM THEATRE. OUR CORE REPERTORY (I.E. OF MICE AND MEN, A MIDSUMMER NIGHT'S DREAM, THE DIARY OF ANNE FRANK, AND THE NEW 90-MINUTE ADAPTATION OF ROMEO & JULIET) IS DIRECTLY TIED TO THE READING LISTS OF A MAJORITY OF MINNESOTA SCHOOLS. 2) INSPIRE EMPATHY. LITERALLY "WALKING IN ANOTHER'S SHOES" BY READING, ACTING, AND WATCHING LIVE PERFORMANCES OF CHARACTERS DIFFERENT FROM THEMSELVES ALLOWS STUDENTS TO EXPERIENCE NEW EMOTIONS IN A SAFE ENVIRONMENT. 3) OVERCOME READING AND LANGUAGE BARRIERS. LITERATURE IS A LOATHSOME TOPIC FOR STRUGGLLING READERS OF ANY BACKGROUND. LIVE THEATRE OFFERS THESE STUDENTS AMPLE CONTEXT AND VISUAL CLUES FOR UNDERSTANDING WORKS AND PHRASES. 4) STRENGTHEN PUBLIC SPEAKING SKILLS AND GROUP INTERACTION. TEACHERS WHOSE STUDENTS PARTICIPATE IN OUR IMMERSION DAY WORKSHOPS OFTEN SEE THE DIFFERENCE JUST ONE 45-MINUTE SESSION IN IMPROVISATION OR SCENE WORK CAN MAKE - DRAWING OUT THE STUDENTS WHO USUALLY STAY ON THE SIDELINES.
