Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee consists of the officers of the board and the immediate past president of the board. The executive committee is at all times subject to the control and direction of the entire board. The executive committee advises the president as to the appointment of committee chairs and members. The executive committee has the authority to act in the name of the board between regularly scheduled meetings of the board, except that the executive committee does not have authority to elect directors or officers, or act with respect to any matters specifically reserved for action by the entire board.

Form 990, Part VI, Section B, Line 11

Copies of the annual audit and form 990 are sent to board members for adoption at the bi-monthly meeting.

Form 990, Part VI, Section B, Line 12C

The theatre's conflict of interest policy covers officers, directors, and employees who may influence the decisions of the organization. The board (or committee thereof) shall determine whether a conflict exists and in the case of an existing conflict, whether the contemplated transaction may be authorized as just, fair, and reasonable to park square theatre. The decision of the board (or committee thereof) on these matters will rest in their sole discretion, and their concern must be the welfare of park square theatre and the advancement of its purpose. Individuals with conflicts of interest may not participate in the discussion or approval of the transaction. Proceedings are documented in the meeting minutes.

Form 990, Part VI, Section B, Line 15

The board issued its first employment contract for the executive director, which established baseline compensation and benefits which included an independent analysis in 2012. Compensation for the artistic director was set in the budgeting process to equal that of the executive director. The full board reviews and approves compensation through the budget recommended by the finance committee. The process for approving the budget including compensation changes is documented in the meeting minutes and budget documents. The process to perform a thorough review of the compensation for the executive director and artistic director was last undertaken for each position in july 2015.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

DIVERSITY HAS EXPLODED WITH 14 PROJECTS ON TWO STAGES, OFTEN CHOSEN AND LED BY WOMEN/AND OR ARTISTS OF COLOR. FOR EXAMPLE, SHOWS THAT FEATURE A DIVERSE CAST LIKE MY CHILDREN! MY AFRICA! ATTRACTED A HIGH PERCENTAGE OF PEOPLE OF COLOR. IN ADDITION, ARTISTS OF COLOR TOTAL 64% OF ALL ARTISTS THIS SEASON.PARK SQUARE BELIEVES THEATRE IS MOST VITAL WHEN IT EXPLORES THE WHOLE PERSON. WE VALUE EMOTIONAL RANGE AND INTELLECTUAL CURIOSITY, CHOOSING WORKS THAT EXPECT AND REWARD INTELLIGENCE, REVEL IN LANGUAGE, AND ARE LIFE-ENHANCING RATHER THAN CYNICAL. THIS SEASON HAS STARTED STRONG WITH LITERARY FAVORITES INCLUDING A RAISIN IN THE SUN IN THE ANDY BOSS THRUST STAGE (OPENED IN OCTOBER 2014). BOTH ADULT AND STUDENT AUDIENCES WERE MOVED BY PARK SQUARE THEATRE'S INTIMATE PRODUCTION OF THIS CLASSIC PLAY. THE PLAY IS A PORTRAIT OF AN AFRICAN AMERICAN FAMILY STRIVING FOR A BETTER LIFE ON CHICAGO'S SOUTH SIDE IN THE 1950S AND THE OPPORTUNITY TO MOVE UP AND OUT OF POVERTY THAT PROVIDES HOPE FOR THE FUTURE.THIS YEAR'S ARTISTIC HIGHLIGHTS ALSO INCLUDE THE RE-STAGING OF A PARK SQUARE THEATRE WORLD PREMIERE COMMISSION NINA-SIMONE: FOUR WOMEN (2016 TOP 10 IN THE STAR TRIBUNE BY ROHAN PRESTON). NINA SIMONE BECAME ONE OF THE MOST VOCAL MUSICIANS OF THE CIVIL RIGHTS MOVEMENT WITH HER SIGNATURE COMBINATION OF CLASSICAL JAZZ AND SOCIAL AWARENESS. AUDIENCES WITNESS THE POWER OF MUSIC TO TELL THE HUMAN STORY AS SIMONE THE MUSICIAN AND ACTIVIST COME VIVIDLY TO LIFE IN THIS MUSICAL PLAY.BACK BY POPULAR DEMAND, THE HOUSE ON MANGO STREET, AN ADAPTATION OF SANDRA CISNERO'S POIGNANT COMING-OF-AGE STORY ABOUT A YOUNG LATINA GROWING UP IN CHICAGO. PERFORMED FOR BOTH PUBLIC AND SCHOOL AUDIENCES, THE PLAY HAD A WAITING LIST OF 750 DURING ITS FIRST SHOWING FOR ITS MATINEES AND ATTRACTED A RECORD NUMBER OF STUDENTS OF COLOR. DURING PARK SQUARE'S 2015-2016 SEASON, WE HAVE BLOSSOMED ARTISTICALLY WITH OUR NEW TWO STAGE SEASON INCLUDING OUR 350-SEAT PROSCENIUM AND 200-SEAT ANDY BOSS THRUST STAGE! WE SERVE A TOTAL AUDIENCE OF NEARLY 75,000 AUDIENCE MEMBERS, INCLUDING APPROXIMATELY 33,000 MIDDLE- AND HIGH-SCHOOL STUDENTS FROM OVER 400 SCHOOLS.
