The organization has no committees with the authority to act on behalf of the board.

Form 990, Part VI, Section B, line 11B

The return is reviewed by the organization's Finance Director and Treasurer, then presented to the Finance Committee for review. The return is then made available to the Board of Directors prior to filing.

Form 990, Part VI, Section B, line 12C

Each officer, director, and key employee is required to fill out an annual conflict of interest form. The forms are reviewed initially by the Executive Assistant. Any conflicts are reviewed by the Governance and Nominating committee. A person with a conflict is restricted from voting on related matters.

Form 990, Part VI, Section B, line 15A

The salary of the President and General Director was decided at the hiring of Mr. Taylor as part of the hiring procedure in consultation with the search firm with access to salaries of like appointments. The Committee tasked with the search approved the compensation within parameters agreed to by the Board. Mr. Taylor's salary was reviewed during the fiscal year ending June 30, 2017. His salary increase was the same percentage as the staff of the Opera. Mr. Taylor set the other key employee salaries with access to surveys of other opera companies. This process occurs on an annual basis.

Financial Statement Notes

Part V, Line 4:

Minnesota Opera's endowment consists of pooled gifts restricted for the long-term support of Minnesota Opera and seven funds where the earnings are restricted to various purposes. Its endowment includes both donor-restricted endowment funds and funds designated by the Board of Directors to function as endowments.

Part X, Line 2:

Minnesota Opera is a Minnesota nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under section 501(a) of the Internal Revenue Code as an organization described in Section 501(c)(3), qualifies for the charitable contribution deduction under Section 170(b)(1)(A)(vi), and has been determined not to be a private foundation under Section 509(a)(1). Minnesota Opera is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, Minnesota Opera is subject to income tax on net income that is derived from business activities that are unrelated to the exempt purpose. Minnesota Opera files an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS to report its unrelated business activity. Minnesota Opera believes that is has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. Minnesota Opera would recognize future accrued interest and penalties related to unrecognized tax benefits in income tax expense if such interest and penalties are incurred.

Minnesota Opera produces a five opera mainstage season curated to inspire, educate and grow audiences, both in the theater and more widely through broadcasts in partnership with Minnesota Public Radio and Twin Cities Public Television.Minnesota Opera's 2016 - 17 season included Romeo and Juliet (Gounod), Das Rheingold (Wagner), Diana's Garden (Martin y Soler), the world premiere of a Minnesota Opera commission, Dinner at Eight (Bolcom), and La boheme (Puccini), which was the only other production in Minnesota Opera's history to gross more than $1M. Minnesota Opera productions featured world-renowned artists showcased in productions which were conducted, directed and designed by acclaimed professionals of the field. Along with distinguished guest artists, Minnesota Opera's productions also featured the company's own professional chorus and orchestra. During the fiscal year 2017 season, Minnesota Opera produced 27 performances for the entertainment and enrichment of over 42,000 patrons.
