Michael moore is managing member of rural housing consultants, llc. Rural housing consultants, llc provided consulting to ahdf, inc during 2012 on a no charge basis and in 2013 for a fee of $240,000, which was substantially below market. Michael moore is also the former owner of a star-holdings of illinois, l.l.c which provided various services to affordable housing partnerships including those in which ahdf holds ownership interests. Ahdf has purchased star-holdings of illinois, l.l.c. From michael moore.

Form 990, Part VI, Section B, Line 11

The treasurer receives a copy of the form 990 from the accountants. The treasurer reviews the form 990 and forwards a copy to each board member. The board of directors meets, asks questions of the tax return preparer and offers any corrections. The board of directors approves of form 990 prior to filing. Either the president or treasurer signs the form 990.

PART IX: STATEMENT OF FUNCTIONAL EXPENSES

The functional expense listed on page ten for the solely owned entities consists of normal operating expenses which include utilities, operating & maintenance, taxes and insurance, financial and administrative. The admnistrative expenses are shown as management and general expenses. The remaining expenses are shown as program services.

Wholly owned entities - prior year equity acquired -115,706. Prior period adjustment for rockford faust seller note receivable 3,825,210. Minority interests - 2013 tax capital acquired -781,275. Minority interests - 2013 purchase price 159,079. Minority interests - prior year equity adjustments -247,297. Minority interests - 2013 contributions & distributions -1,374,567. 2013 adjustment to investment for entities that are now wholly owned 877,055.

Part XI, Line 2C

Prior to the finalization of the audit, a copy of the audit is given to all of the board memebers for their comments. The board meets with the auditors to discuss the audit and then approves the audit. When the audit is up for bid, the board annually reviews the relationship with the current auditor and makes a determination as to whether to maintain this relationship or change to a new auditing firm.

Financial Statement Notes

PART X, LINE 2:

The corporation adopted the income taxes topic of the fasb accounting standards codification (asc) 740 which provides guidance for how uncertain income tax positions should be recognized, measured, presented and disclosed in the financial statements. The corporation is required to evaluate the income tax positions taken or expected to be taken to determine whether the positions are "more-likely-than-not" to be sustained upon examination by the applicable tax authority. The corporation has determined that the application of asc 740-10 does not impact the operations of the corporation and that no provision for income tax is required in the corporation's financial statements. There has been no interest or penalties recognized in the income statement or balance sheet for the years ended december 31, 2013 and 2012.
