Founded in 1827, the pennsylvania horticultural society (phs) uses horticulture to advance the health and well-being of the greater philadelphia region. Governance Explanations

Form 990, Part VI, Section B, Line 11B

Review of form 990 pennsylvania horticultural society engages an independent tax preparation firm to assist in the preparation and review of the form 990. Phs management reviews the form 990 for completeness and accuracy. Prior to filing the form 990 the board designated the audit committee who reviews the form 990. After approval by the audit committee, the return is provided to the full board for review before filing.

Form 990, Part VI, Section B, Line 12C

Conflict of interest policy each member of the board, each member of specified committees and each officer execute a statement each year setting forth any possible conflicts of interest or stating that no such conflicts exist. Counsel to the pennsylvania horticultural society review such statements and inform the board of any potential material conflicts. Any staff member who has a conflict or a potential conflict of interest must disclose such conflict of interest in writing to the director of human resources. A violation of this policy may result in disciplinary action up to and including discharge from employment.

Form 990, Part VI, Section B, Line 15

Process for determining compensation the executive compensation committee shall annually review and approve goals and objectives relevant to the compensation of the president and shall evaluate the performance of the president in light of those goals and objectives. Based on such evaluation, the committee shall recommend the compensation of the president for review and approval by the board. The board's executive compensation committee: 1. Is an informed, independent committee of disinterested (non-conflicted) members of the board that make decisions impacting officers and key employees; 2. Has both a formal charter and philosophy statement; 3. Carefully evaluates competitive information for similarly qualified individuals in comparable positions at like sized and situated organizations and has the opportunity to ask questions of the qualified person who analyzes the information, and, 4. Contemporaneously records decisions and actions, clearly demonstrating that all approvals are secured before pay actions are undertaken. Form 990, part vi, section c, line 15b in consultation with the president, the executive compensation committee shall annually review and approve goals and objectives relevant to the compensation of the executive officers and shall evaluate the performance of the executive officers in light of those goals and objectives. The committee shall also review and approve all compensation, including base salary and incentive compensation awards, for any new senior management position proposed by the president that the board has authorized management to create. The committee shall recommend appropriate action for review and approval by the board on any proposed recommendations for the executive officers which depart from established policies and practices. The committee shall review and recommend for approval overall compensation guidelines that apply to all other officers or senior managers. The boards executive compensation committee: 1. Is an informed, independent committee of disinterested (nonconflicted) members of the board that make decisions impacting officers and key employees; 2. Has both a formal charter and philosophy statement; 3. Additional Explanations

FORM 990, PART III, LINE 4B, PROGRAM SERVICE ACCOMPLISHMENTS:

Phs uses an array of programs designed to leverage horticulture to strengthen communities, create healthy living environments, facilitate economic opportunity, and increase access to fresh food. Partnering with the city of philadelphia, we clean, green and maintain nearly 13,000 lots across the city, turning blighted lots into neighborhood assets. Through our workforce development programs, we've trained over 250 people to prepare them for jobs in the horticultural and landscape industries. We've trained over 6,500 tree tenders to plant and take care of trees. Together with our partners and volunteers we plant over 3,000 trees each year. We work to increase access to fresh food by sharing over 260,000 vegetable seedings annually and supporting 170 community gardens to grow and share produce in their neighborhoods. Under contract with the philadelphia water department, we have installed 5,021 rain barrels and provided stormwater management education to 12,194 residents.

Financial Statement Notes

PART III, LINE 1A:

Organizations maintaining collections of art the society does not capitalize its collections. All collections are protected and preserved and are held for exhibition to the public for educational purposes and not financial gain. It is the society's policy to restrict proceeds from the sale of collections items for the purchase of other collection items. The collections are material to the financial statements and include library, art and educational assets. The purchase of additional collections and proceeds from the sale of collections are reflected on the statements of activities as change in net assets related to collection items not capitalized, collection items purchased but not capitalized, and proceeds from sales of collection items if applicable, respectively.

PART III, LINE 4:

Collection of art of historical treasures historical, rare gardening books and seed catalogs from the 16th - 20th centuries in the library are used to further the mission of the society through public exhibition, scholarly research, preservation for future generations and loan/exchange programs with other organizations.

PART V, LINE 4:

Endowment funds the society's endowment funds include both donor restricted endowment funds and funds designated by the society's board to function as endowments. The use of permanently restricted net assets and related income and gains is limited by pennsylvania statute act 141. Each year, the society's board authorizes amounts that can be spent for operating and donor restricted purposes.

PART X, LINE 2:

Fin 48 footnote the organization is one entity which is included within a consolidated audited financial statement. The text of that footnote states that the organizations "have determined that there are no material uncertain tax positions that require recognition or disclosure in its financial statements.
