Governance Explanations

Form 990, Part VI, Section B, Line 11B

A copy of the 990 is provided to any board member who requests one. A copy of the filed 990 is provided to the audit/finance committee of the board for review. Relevant selected questions answered on the 990 are reviewed with the audit/finance committee before filing the 990.

Form 990, Part VI, Section B, Line 12C

A copy of the policy must be read by all employees and signed, indicating their understanding of the policy. They are also required to report any potential conflict based on the policy's definitions. All employees must return their reports to the human resource department who presents them to the cfo for review and interpretation. It is a condition of employment to respond to the policy annually, therefore, 100% response is accomplished. In addition, a questionnaire is sent to all board members asking them to report any conflict of interest they may have. In addition, a related party and conflict of interest questionnaire is also provided to every board member for review and return to the school.

Form 990, Part VI, Section C, Line 19

Most governing documents are available upon request. Conflict of interest policy is on the university's website. Financial statement distribution is limited to officers and board members. The a-133 audit report is available on the university's web site.

PART X, LINE 2:

The university has received a determination letter from the internal revenue service indicating that it is a tax-exempt organization as provided for in section 501(c)(3) of the internal revenue code and is exempt from federal and state income taxes, except for taxes pertaining to unrelated business income. No provision has been made for income taxes in the accompanying consolidated financial statements because the university does not have a significant amount of unrelated business income. The university addresses the determination of whether tax benefits claimed on a tax return should be recorded in the consolidated financial statements. Under current accounting guidance, the university may recognize the tax benefit from an uncertain tax position only if there is substantial authority that the tax position will be sustained on examination by taxing authorities, based on the technical merit of the position. Examples of tax positions include the tax-exempt status of the university and various positions related to the potential sources of unrelated business taxable income. There were no significant unrecognized tax expenses identified or recorded as liabilities during the fiscal years 2018 and 2017. Open tax years subject to examination by the u.s. And state taxing authorities are for the fiscal years ending june 30, 2015 to 2017, which statutes expire in 2019 to 2021. Open tax years subject to examination by state tax authorities are fiscal years ending june 30, 2014 to 2017, which expire 2019 to 2022.
