The representation did not generate an amount of fees that was material to Ms. Smalley's firm or to the client. In 2017, though no longer a partner or employed by the law firm, Ms. Smalley remains substantially affiliated with the law firm in an "of counsel" capacity. As of September 2017, the firm no longer participates in the representation of any board member.”

“A draft copy of the Form 990 is shared with all board members and they are given the opportunity to comment and raise questions prior to a full board vote to approve the Form 990.”
