Duty to disclose: in connection with any actual or possible conflict of interest, an interested person must disclose the existence of his or her financial interest and all material facts to the board or committee members considering the proposed transaction or arrangement. Determining whether a conflict of interest exists: after disclosure of the financial interest and all material facts, and after any discussion with the interested person, the interested person shall leave the board or committee meeting while the determination of a conflict of interest is discussed and determined. The remaining board or committee members shall decide if a conflict of interest exists. Procedures for addressing conflicts of interest: (1) an interested person may make a presentation at the board or committee meeting, but after such presentation, he or she shall leave the meeting during the discussion of, and the vote on, the proposed transaction or arrangement. (2) the chair of the board or committee may appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. (3) after exercising due diligence, the board or committee shall determine whether the partnership can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. (4) if a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not give rise to a conflict of interest, the board or committee shall determine, by a majority vote of the disinterested directors or committee members, whether the transaction or arrangement is in the partnership's best interest, for its own benefit and reasonable to the partnership, and shall make its decision whether to enter into the transaction or arrangement in conformity with such determination. Violations of the conflict of interest policy: (1) if the board or committee has reasonable cause to believe that an interested person has failed to disclose an actual or possible conflict of interest, or to provide full disclosure regarding a possible conflict of interest, it shall inform the person of the basis for such belief and afford the person an opportunity to explain the alleged failure to disclose. (2) if, after hearing the response of the person and making such further investigation as may be warranted under the circumstances, the board or committee determines that the interested person in fact has failed to appropriately disclose an actual or possible conflict of interest, it shall take whatever disciplinary action, corrective action, or both, it deems appropriate in its sole discretion.

PART IV, LINE 2B:

The organization received contributions for start-up costs of a new organization, a producer responsibility organization called circularity alliance. The organization is a facilitator of the startup funding and these contributions are to be provided to circulatory alliance. Therefore trp does not have variance power over these funds and they are recorded as a liability for trp.

PART X, LINE 2:

In accordance with financial accounting standards board ("fasb") asc 740, income taxes, the organization has applied the "more likely than not" threshold to the recognition and derecognition of tax positions in its consolidated financial statements. Management has evaluated the organization's tax positions and has concluded that there are no uncertain tax positions that qualified for either recognition or disclosure in the consolidated financial statements as of december 31, 2024 and 2023.
