Chicago cares, inc. Maintains a written conflict of interest (coi) policy, which is reviewed by management and the president of the board of directors' at least annually and modified as required. The board of directors and officers of the organization are required to certify annually that they have read and understand the coi policy and submit a written questionnaire each year disclosing any known conflicts. The responses to the questionnaires are reviewed by management. Management also monitors all transactions during the normal course of business to identify other potential conflicts and reviews potential conflicts to determine whether any actual conflicts exist. Individuals who believe they are in a potential conflict are required to recuse themselves from the deliberation and decision making process.

Form 990, Part VI, Section B, Line 15

The executive committee determines compensation for the ceo and approves compensation ranges for all disqualified persons, which includes other officers and all key employees. In fulfilling the board's oversight responsibilities for determining the adequacy and reasonableness of the compensation and benefits paid to the ceo and other disqualified persons, the committee conducts an annual review of performance against defined goals, (b) annually reviews compensation and benefits in relation to the marketplace and relevant independent data, and (c) determines changes in the ceo and other disqualified persons' compensation and/or benefits. All discussions and decisions are contemporaneously documented in the committee's minutes.

Chicago cares is now offering a suite of capacity building and advisory services (cbas) tailored to nonprofit organizations and corporations, with plans to expand offerings to individuals in 2019.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from income tax under provisions of internal revenue code section 501(c)(3). The organization has been classified as an organization other than a private foundation under section 509(a)(2) of the internal revenue code. Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the organization and recognize a tax liability if the organization has taken an uncertain positon that more likely than not would not be sustained upon examination by the irs or other applicable taxing authorities. Management has analyzed the tax positions taken by the organization and has concluded that as of december 31, 2018 and 2017, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.
