Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee is comprised of the chairman of the board, the vice chairman, the treasurer and the secretary. The executive committee may act on behalf of the full board of directors unless the decision is for policy change.

Form 990, Part VI, Section A, Line 6

There shall be two (2) classes of membership in the corporation, as follows: (a) voting members, who are the bodies corporate and political of the counties making up the planning and service area of the corporation. (b) advisory members, who are natural persons of age eighteen (18) years or greater and who reside within the corporation's planning and service area, or non-profit corporations, associations or governmental units or agencies who apply for membership as advisory members, subscribe to the corporation's purposes and objectives and who meet all qualifications established by the corporation in its bylaws, and all amendments thereto, and the bylaws for the advisory committee on aging of the corporation, and all amendments thereto.

Form 990, Part VI, Section A, Line 7A

The counties that are part of the planning and service area of council on aging are able to appoint an individual to the board of directors of council on aging to represent their county. They are able to do as long as they provide matching funds to the organization under the memorandum of understanding that council on aging has with each county.

Form 990, Part VI, Section B, Line 11B

The board of directors is provided a copy of the draft form 990 prior to the board meeting at which it will be approved. Questions that any board member may have will be addressed at the board meeting before approval of the filing of the 990.

Form 990, Part VI, Section B, Line 12C

Board members sign a new conflict of interest policy at the beginning of each year indicating what other positions they hold that might create a potential conflict of interest and if they have any known conflicts of interest. The statements are reviewed by the executive director and filed by the financial manager. The executive director along with the financial manager monitors transactions that could potentially cause a conflict of interest with the board members. The executive director determines whether a conflict exists. Any conflicts of interest that are determined are discussed with board of directors. Any member with a determined conflict of interest abstains from voting in regards to motions involving the conflict of interest.

There is a formal salary review process, constructed on a 3 year cycle. Year 1 is a full salary study, year 2 and 3 are updates. The salary study is completed by an outside consultant. The results are reviewed by the executive director and financial manager. It is then presented to the board of directors for approval. The year of the most recent salary review is 2017.

IN 2017, SENIOR LINKAGE LINE SERVED 46,047 INDIVIDUALS WITH PHONE ASSISTANCE AND 13,542 PEOPLE WITH IN-PERSON ASSISTANCE. TWENTY-EIGHT COMMUNITY ACCESS SITES WERE AVAILABLE TO OLDER ADULTS AND INDIVIDUALS ON MEDICARE IN 2017. 33ACTIVE HEALTH INSURANCE COUNSELING VOLUNTEERS CONTRIBUTED 916 HOURS OF INSURANCE COUNSELING.

HOME AND COMMUNITY BASED SERVICES (HCBS) CAPACITY OUTCOMEWE HELPED PEOPLE TO USE THEIR OWN RESOURCES WISELY TO MEET THEIR NEEDS, TARGETING SERVICES TO HIGH RISK INDIVIDUALS. PARTICULARLY REACHING OLDER ADULTS WHO ARE ISOLATED, HAVE DEMENTIA; AND FOCUSING THE DEVELOPMENT AND MAINTENANCE OF SERVICES NEEDED BY PEOPLE WHO MIGHT OTHERWISE BECOME ELIGIBLE FOR THE ALTERNATIVE CARE OR ELDERLY WAIVER PROGRAMS BY PROVIDING TECHNICAL ASSISTANCE (TA) TO FUNDED LIVE WELL GRANTEE LAKES AND PINES COMMUNITY ACTION PROGRAM (CAP) IN DEVELOPING A HEAVY CHORE PROGRAM IN UNDERSERVED ISANTI, MILLE LACS, CHISAGO, ISANTI, AND PINE COUNTIES.IN COLLABORATION WITH MN DOT AND DHS, WE WORKED TOWARD THE CREATION OF REGIONAL COORDINATORS COUNCILS TO CREATE MULTI-ORGANIZATIONAL ENTITIES TO ENGAGE BETTER ACCESS, COORDINATION, AND RESOURCE UTILIZATION. WE PARTICIPATED IN THE HOMELESS CONCERNS WORKGROUP IN BRAINERD AND ST. TRAINING REGARDING THE 245D LICENSE AND PROVIDED SUSTAINABILITY PLANNING ASSISTANCE TO SENIOR CARE CONSULTING TO COVER CASS AND CROW WING COUNTIES OFFERING CAREGIVER CONSULTATION AND MEMORY CAFS AND EMBRACE TO OFFER FAMILY CAREGIVER TRAINING THROUGHOUT THE REGION. COMMUNITIES FOR A LIFETIME OUTCOMECENTRAL MINNESOTA'S COMMUNITIES ARE GOOD PLACES TO GROW UP AND GROW OLD, AND OFFER PHYSICAL, SOCIAL, AND SERVICE FEATURES FOR THEIR RESIDENTS OF ALL AGES.
