Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee is comprised of the chairman of the board, the vice chairman, the treasurer and the secretary. The executive committee may act on behalf of the full board of directors unless the decision is for policy change.

Form 990, Part VI, Section A, Line 6

There shall be two (2) classes of membership in the corporation, as follows: (a) voting members, who are the bodies corporate and political of the counties making up the planning and service area of the corporation. (b) advisory members, who are natural persons of age eighteen (18) years or greater and who reside within the corporation's planning and service area, or non-profit corporations, associations or governmental units or agencies who apply for membership as advisory members, subscribe to the corporation's purposes and objectives and who meet all qualifications established by the corporation in its bylaws, and all amendments thereto, and the bylaws for the advisory committee on aging of the corporation, and all amendments thereto.

Form 990, Part VI, Section A, Line 7A

The counties that are part of the planning and service area of council on aging are able to appoint an individual to the board of directors of council on aging to represent their county. They are able to do as long as they provide matching funds to the organization under the memorandum of understanding that council on aging has with each county.

Form 990, Part VI, Section B, Line 11B

The board of directors is provided a copy of the draft form 990 prior to the board meeting at which it will be approved. Questions that any board member may have will be addressed at the board meeting before approval of the filing of the 990.

Form 990, Part VI, Section B, Line 12C

Board members sign a new conflict of interest policy at the beginning of each year indicating what other positions they hold that might create a potential conflict of interest and if they have any known conflicts of interest. The statements are reviewed by the executive director and filed by the financial manager. The executive director along with the financial manager monitors transactions that could potentially cause a conflict of interest with the board members. The executive director determines whether a conflict exists. Any conflicts of interest that are determined are discussed with board of directors. Any member with a determined conflict of interest abstains from voting in regards to motions involving the conflict of interest.

Form 990, Part VI, Section B, Line 15

There is a formal salary review process, constructed on a 3 year cycle. Year 1 is a full salary study, year 2 and 3 are updates. The salary study is completed by an outside consultant. The results are reviewed by the executive director and financial manager. It is then presented to the board of directors for approval. The year of the most recent salary review is 2015.

SERVICES PURCHASED WITH THESE DOLLARS INCLUDED 740 HOURS OF COMPREHENSIVE HEALTH ASSESSMENT, 3,666 HOURS OF LEGAL ASSISTANCE, 1 LEGAL EDUCATION SESSION, 9,642 RIDES OF TRANSPORTATION AND ASSISTED TRANSPORTATION, 490 SESSIONS OF EVIDENCED BASED WORKSHOPS, 308 HOURS OF SUPPORT PLANNING, 4,199 HOURS OF SUPPORTIVE SERVICES, 5,840 HOURS OF CAREGIVER RESPITE, 2,385 HOURS OF CAREGIVER COUNSELING SERVICES, 36 CAREGIVER EDUCATION SESSIONS, 232,997 CONGREGATE MEALS AND 160,058 HOME DELIVERED MEALS. A TOTAL OF $448,022 WAS UTILIZED AS IN-KIND MATCH BY THE SERVICE PROVIDERS IN THE DELIVERY OF THE AFOREMENTIONED SERVICES.

IN 2016, SENIOR LINKAGE LINE SERVED 43,574 INDIVIDUALS WITH PHONE ASSISTANCE AND 10,950 PEOPLE WITH IN-PERSON ASSISTANCE. TWENTY-EIGHT COMMUNITY ACCESS SITES WERE AVAILABLE TO OLDER ADULTS AND INDIVIDUALS ON MEDICARE IN 2016. 38 ACTIVE HEALTH INSURANCE COUNSELING VOLUNTEERS CONTRIBUTED 1,094 HOURS OF INSURANCE COUNSELING.

IN TODAY'S CHANGING HEALTH CARE ENVIRONMENT, THE CENTRAL MN COUNCIL ON AGING IS WORKING TO BRIDGE THE HOME AND COMMUNITY BASED SERVICES ARENA WITH ACUTE AND PRIMARY HEALTH CARE SERVICES. CONTRACTED WITH DR. BARCLAY TO CONDUCT A TRAINING ON UNDERSTANDING THE RATIONALE FOR USING COGNITIVE SCREENING INSTRUMENTS; GAIN PROFICIENCY IN ADMINISTERING, SCORING, AND INTERPRETING THE MINI-COG SCREENING TOOL; LEARNED HOW TO COMMUNICATE SCREENING RESULTS TO CLIENTS AND PREPARE THEM FOR A DOCTOR'S VISIT AND MEMORY LOSS WORK-UP; AND HOW TO EMPLOY BEST PRACTICES IN CARE PLANNING AND CARE COORDINATION FOR PATIENTS WITH DEMENTIA AND THEIR CARE PARTNERS. THREE TRAININGS REACHED 174 PROFESSIONALS INCLUDING MN CHOICE ASSESSORS, CAREGIVER CONSULTANTS, HEALTH CARE HOME CARE COORDINATORS, CASE MANAGERS, NURSES, AND SOCIAL WORKERS. CO-FACILITATE WITH CUYUNA REGIONAL MEDICAL CENTER AND FAIRVIEW TO CONVENE STAKEHOLDERS TO JOIN TOGETHER IN A PLANNING EFFORT THAT IS BEING SUPPORTED UNDER THE FRAMEWORK OF MINNESOTA-BASED COLLABORATIVE CALLED SILOS TO CIRCLES HEADED BY THE COLLECTIVE ACTION LAB AND OLIVIA MASTRY. WORKING TO ENSURE REGION WIDE THE AVAILABILITY OF A CORE SET OF SUPPORTS INCLUDING CAREGIVER SUPPORT, MEALS, ASSISTED TRANSPORTATION, CHORE, AND HOMEMAKER SERVICES. INCREASE PUBLIC AWARENESS OF CAREGIVER SUPPORTS AND SERVICES. HELP CREATE AND CONNECT COMMUNITY NETWORKS TO EXPAND THE RANGE OF SERVICES AND PROGRAMS. OFFER ACCESS TO ELDERCARE SUPPORTS AND RESOURCES. PROVIDED TECHNICAL ASSISTANCE TO FAMILY PATHWAYS IN DEVELOPING A VOLUNTEER BASED PROGRAM TO PROVIDE ASSISTED TRANSPORTATION, RESPITE, CHORE AND HOMEMAKER SERVICES IN MILLE LACS, ISANTI, CHISAGO, KANABEC, AND PINE COUNTIES. TWO OAA PROVIDERS ARE IMPLEMENTING THE REACH COMMUNITY DEMENTIA CAREGIVING INTERVENTION AND TWO ARE IMPLEMENTING THE REST COMPANIONS TRAINING TO TRAIN RESPITE CARE VOLUNTEERS.
