Governance Explanations

Form 990, Part VI, Section A, Line 1A

The four officers of the board shall constitute the executive committee. The executive committee may conduct the business of the agency between the full committee's regular meetings. Except for the power to amend the articles of incorporation, bylaws, and policy decisions, the executive committee shall have all of the powers and authority of the board of directorsin the intervals between meetings of the board of directors, subject to the direction and ontrol of the board of directors. The executive committee shall inform the full committee of it's actions.

Form 990, Part VI, Section A, Line 6

There shall be two (2) classes of membership in the corporation, as follows: (a) voting members, who are the bodies corporate and political of the counties making up the planning and service area of the corporation. (b) advisory members, who are natural persons of age eighteen (18) years or greater and who reside within the corporation's planning and service area, or non-profit corporations, associations or governmental units or agencies who apply for membership as advisory members, subscribe to the corporation's purposes and objectives and who meet all qualifications established by the corporation in its bylaws, and all amendments thereto, and the bylaws for the advisory committee on aging of the corporation, and all amendments thereto.

Form 990, Part VI, Section A, Line 7A

The counties that are part of the planning and service area of council on aging are able to appoint an individual to the board of directors of council on aging to represent their county. They are able to do as long as they provide matching funds to the organization under the memorandum of understanding that council on aging has with each county.

All members of the board of directors are provided a copy of the draft form 990 prior to the board meeting at which it will be approved. Questions that any board member may have will be addressed at the board meeting before approval of the filing of the 990

Form 990, Part VI, Section B, Line 12C

Board members sign a new conflict of interest policy at the beginning of each year indicating what other positions they hold that might create a potential conflict of interest and if they have any known conflicts of interest. The statements are reviewed by the executive director and filed by the financial manager. The executive director along with the financial manager monitors transactions that could potentially cause a conflict of interest with the board members. The executive director determines whether a conflict exists. Any conflicts of interest that are determined are discussed with board of directors. Any member with a determined conflict of interest abstains from voting in regards to motions involving the conflict of interest.

Form 990, Part VI, Section B, Line 15

Cmcoa has a formal salary review process constructed on a 3 year cycle. Year 1 is a full salary study, year 2 and 3 are updates. The salary study is completed by an outside consultant. The results are reviewed by the executive director and financial manager. It is then presented to the board of directors for approval. The process described here was last completed in 2024.

IN 2024, $4.6 MILLION PURCHASED SERVICES WITH THESE DOLLARS WHICH INCLUDED 18,495 SESSIONS OF INFORMATION AND ASSISTANCE, 955 HOURS OF COMPREHENSIVE HEALTH ASSESSMENT, 3,578 HOURS OF LEGAL ASSISTANCE, 1 LEGAL EDUCATION SESSION, 18,877 RIDES OF ASSISTED TRANSPORTATION, 1,447 HOURS OF CHORE SERVICES, 10,973 HOURS OF HOMEMAKER SERVICES, 1,115 SESSIONS OF EVIDENCED BASED HEALTH PROMOTION PROGRAMS, 5,084 HOURS OF CAREGIVER RESPITE, 2,053 HOURS OF CAREGIVER COUNSELING SERVICES, 194 SUPPORT GROUP SESSIONS, 846 HOURS OF TELEPHONE REASSURANCE OR FRIENDLY VISITING, 34 CAREGIVER INFORMATION SESSIONS, 181 HOURS OF CAREGIVER INFORMATION AND ASSISTANCE, 86,931 CONGREGATE MEALS AND 367,746 HOME DELIVERED MEALS.
