The Committee and/or Board may deem it necessary to direct further inquiries to the appropriate individuals and may take further action when necessary. These actions may include, but are not limited to, requiring the individual(s) to divest themselves of the conflict and/or to provide full disclosure.”

“An independent third-party consultant conducts a periodic competitive market compensation study of all positions and compensation grade levels. A separate study is conducted in relation to the salary of the CEO. The study is presented by the consultant and is reviewed by management and the Board of Directors and is used to create the salary increase matrix. All employees receive and annual performance evaluation which is completed by the employee's supervisor. If appropriate, employees receive an increase in pay determined by the results of the evaluation and according to the percentages indicated in the salary increase matrix. The performance of the CEO is evaluated by the Board of Directors. The Board reviews the evaluation with the CEO and approves any changes is CEO compensation.”
