Governance Explanations

Form 990, Part VI, Section A, Line 6

Awi is a professional trade association made up of manufacturing member companies, supplier member companies, and affiliate individual members.

Form 990, Part VI, Section A, Line 7A

On an annual basis, the awi manufacturing membership elects directors for two-year terms to fill vacancies on the awi board of directors.

Form 990, Part VI, Section B, Line 11B

The form 990 was prepared by the outside accountants and reviewed by the executive vice president. Prior to filing the form 990, the executive vice president sent a copy of the form 990 via email to each member of the awi board of directors.

Form 990, Part VI, Section B, Line 12C

Annually, each officer and director signs an acknowledgement of awi's conflict of interest policy as part of a volunteer leader agreement form. If a potential or real conflict arises, it is addressed by the board chair, who makes sure that it is resolved in the best interests of awi.

Form 990, Part VI, Section B, Line 15A

The top management official's compensation is reviewed annually and compared to the most recent asae salary research survey. The deliberations and decisions of the board of directors are contemporaneously documented in the board's minutes. The last review took place in december 2017.

Form 990, Part VI, Section C, Line 19

The organization's financial statements, governing documents and conflict of interest policy are available on awi's website.
