The Form 990 is prepared by the outside accounting firm of RSM US LLP. Once completed it is reviewed by Executive Office staff and subsequently presented to the Finance & Audit Standing Committee and the International Executive Board (IEB) for their review. It is then filed with the IRS.

Form 990, Part VI, Section B, line 12C

It is the policy of the Fraternity and its IEB that Board members and Alpha Phi International Fraternity Executive Office (EO) staff carry out their respective duties in a fashion that avoids actual, potential or perceived conflicts of interest. Board members and EO staff shall have the continuing, affirmative duty to report any personal ownership, interest, or other relationship that might affect their ability to exercise impartial, ethical, and business-based judgments in fulfilling their responsibilities to the Fraternity. This policy shall be further subject to the following principles: 1. Board members and EO staff shall conduct their duties with respect to potential and actual grantees, contractors, suppliers, agencies, and other persons transacting or seeking to transact business with the Fraternity in a completely impartial manner without favor or preference based upon any consideration other than the best interests of the Fraternity. 2. Board members and EO staff shall not seek or accept for themselves or any of their relatives (including spouses, children, etc.) from any person or business entity that transacts or seeks to transact business with the Fraternity any gifts, entertainment, or other favors relating to their positions with the Fraternity that exceed common courtesies consistent with ethical and accepted business practices. 3. If a Board member or a Board member's relative directly or indirectly owns a significant financial interest in, or is employed by, any business entity that transacts or seeks to transact business with the Fraternity the Board member shall disclose that interest or position and shall refrain from voting on any issue pertaining to the transaction. 4. EO staff shall not conduct business on behalf of the Fraternity with a relative or a business entity in which the employee or his or her relative owns a significant financial interest or by which such employee or relative is employed except where such dealings have been disclosed to and specifically approved and authorized by the IEB. 5. The IEB may require the Fraternity's Board members or EO staff to annually complete (or as otherwise scheduled by the IEB) a disclosure statement regarding any actual or potential conflict of interest described in this policy. The disclosure statement shall be in such form as may be prescribed by the IEB and may include information regarding a person's participation as a director, member, trustee, officer or employee of any other non-profit organization. The IEB shall be responsible for oversight of all disclosures or failures to disclose and for taking appropriate action in the case of any actual or potential conflict of interest transaction. The failure of the Fraternity, its IEB, or any or all of its Board members or EO staff to comply with this conflict of interest provision shall not invalidate, cancel, void, or make voidable any contract, relationship, action, transaction, debt, commitment, or obligation of the Fraternity that otherwise is valid and enforceable under applicable law.

Form 990, Part VI, Section B, line 15

In determining the compensation for the Executive Director, The Personnel Committee, which is a committee of the International Executive Board, used a compilation of feedback from independent Board members and a 360 degree feedback tool as well, to prepare the Executive Director's annual performance review. We measured her performance against progress made relative to our strategic plan and also we measured skills, knowledge and results. Her salary increase was based on these measures.

The Fraternity posts its Constitution, Policies & Procedures document (which includes its Conflict of Interest Policy) and audited Financial Statements on the Alpha Phi web site behind the "Members Only" section. The Financial Statements are also made available upon request for the same period of disclosure as set forth in 6104(d).

Financial Statement Notes

Part X, Line 2:

As a tax-exempt organization under Section 501(c)(7) of the Internal Revenue Code, income from most of the Fraternity's activities is not subject to income taxes. Its unrelated business (or nonmember) income, which primarily derives from its net investment activities, may be offset by expenses incurred in connection with charitable and educational purposes. The fraternity has set aside board-designated net assets for charitable and educational expenses, including chapter house loans to substantially offset any income tax liability; therefore, no provision for income taxes has been provided. The Fraternity follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the Fraternity may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the Fraternity and various positions related to the potential sources of unrelated business income tax (UBIT). There were no unrecognized tax benefits identified or recorded as liabilities during the periods covered by these financial statements. The Fraternity files forms 990 and 990-T in the U.S. federal jurisdiction and the State of Illinois. The Fraternity's returns are generally no longer subject to examination by the Internal Revenue Service for fiscal years before 2014.

It consists of five main components: the Emerging Leaders Institute (ELI) - a unique values-based Leadership Institute for women, the Chapter Leadership Development program - a library of leadership modules used by chapters to educate their membership, Leadership Conferences - leadership training sessions for chapter officers, the Leadership Fellows Program - an intensive, career-oriented leadership program for upperclassmen, and the Educational Leadership Consultant Program - highly trained recent graduates who provide in-person leadership training to chapters. Each program integrates alumnae members as facilitators and coaches, encouraging the commitment of lifelong membership.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0As a tax-exempt organization under Section 501(c)(7) of the Internal Revenue Code, income from most of the Fraternity's activities is not subject to income taxes. Its unrelated business (or nonmember) income, which primarily derives from its net investment activities, may be offset by expenses incurred in connection with charitable and educational purposes. The fraternity has set aside board-designated net assets for charitable and educational expenses, including chapter house loans to substantially offset any income tax liability; therefore, no provision for income taxes has been provided. The Fraternity follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the Fraternity may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the Fraternity and various positions related to the potential sources of unrelated business income tax (UBIT). There were no unrecognized tax benefits identified or recorded as liabilities during the periods covered by these financial statements. The Fraternity files forms 990 and 990-T in the U.S. federal jurisdiction and the State of Illinois. The Fraternity's returns are generally no longer subject to examination by the Internal Revenue Service for fiscal years before 2014.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3It is the policy of the Fraternity and its IEB that Board members and Alpha Phi International Fraternity Executive Office (EO) staff carry out their respective duties in a fashion that avoids actual, potential or perceived conflicts of interest. Board members and EO staff shall have the continuing, affirmative duty to report any personal ownership, interest, or other relationship that might affect their ability to exercise impartial, ethical, and business-based judgments in fulfilling their responsibilities to the Fraternity. This policy shall be further subject to the following principles: 1. Board members and EO staff shall conduct their duties with respect to potential and actual grantees, contractors, suppliers, agencies, and other persons transacting or seeking to transact business with the Fraternity in a completely impartial manner without favor or preference based upon any consideration other than the best interests of the Fraternity. 2. Board members and EO staff shall not seek or accept for themselves or any of their relatives (including spouses, children, etc.) from any person or business entity that transacts or seeks to transact business with the Fraternity any gifts, entertainment, or other favors relating to their positions with the Fraternity that exceed common courtesies consistent with ethical and accepted business practices. 3. If a Board member or a Board member's relative directly or indirectly owns a significant financial interest in, or is employed by, any business entity that transacts or seeks to transact business with the Fraternity the Board member shall disclose that interest or position and shall refrain from voting on any issue pertaining to the transaction. 4. EO staff shall not conduct business on behalf of the Fraternity with a relative or a business entity in which the employee or his or her relative owns a significant financial interest or by which such employee or relative is employed except where such dealings have been disclosed to and specifically approved and authorized by the IEB. 5. The IEB may require the Fraternity's Board members or EO staff to annually complete (or as otherwise scheduled by the IEB) a disclosure statement regarding any actual or potential conflict of interest described in this policy. The disclosure statement shall be in such form as may be prescribed by the IEB and may include information regarding a person's participation as a director, member, trustee, officer or employee of any other non-profit organization. The IEB shall be responsible for oversight of all disclosures or failures to disclose and for taking appropriate action in the case of any actual or potential conflict of interest transaction. The failure of the Fraternity, its IEB, or any or all of its Board members or EO staff to comply with this conflict of interest provision shall not invalidate, cancel, void, or make voidable any contract, relationship, action, transaction, debt, commitment, or obligation of the Fraternity that otherwise is valid and enforceable under applicable law.

We measured her performance against progress made relative to our strategic plan and also we measured skills, knowledge and results. Her salary increase was based on these measures.
