The osma has a house of delegates (hod) that represents physician members. The hod elects physician officers and council members.

Members approve changes to osma's bylaws.

As the osma's relationship with county or component medical societies has changed in recent years, the osma still has local affiliates. The component societies exist because the osma still approves/authorizes them. However, with bylaws changes adopted in the past several years - most importantly the de-linkage of the state and counties, the osma no longers has policies and procedures governing the activities of the affiliates. The osma still technically approves changes to the component society bylaws, but do not in any way oversee their operations.

All employees, physician officers and council members are required to sign a conflict of interest policy annually to disclose any conflicts of interest. The information is shared with our auditors who make inquiries of management and council.

The osma has a compensation committee that meets quarterly to review the compensation of the executive director and senior staff. The committee is composed of independent physician officers. The compensation committee can, and sometimes does, hire independent advisors to provide comparable data and assist with deliberations. Deliberations are documented in the governing body board minutes.

1 - to bring into one organization, the physicians of the state of ohio and through this and similar societies of other states to maintain and support the american medical association. 2 - to formulate and maintain educational programs designed to provide better service to the public in matters of personal and public health. 3 - to encourage among members of the medical profession the interchange of views on all phases of medical science, to the end that each member of the profession may be better equipped to service society and promote the health of the public. 4 - to maintain and advance the standards of medical practice in the state of ohio by requiring adherence by the members of the profession to the concepts of professional ethics. 5 - to study, formulate methods, and provide information on health care delivery systems. 6 - to represent the opinions and policy positions of the members, as approved by the house of delegates or the council, before government bodies and agencies. 7 - to carry on such functions and activities as are deemed necessary or desirable to effectuate the above purposes.

1 - the executive group oversees the operations and programs of the osma including finance, governance, human resources, legal, meeting management and technology. 2 - the external affairs group oversees the osma's relations with and involvement in public health programs, other health care entities and associations, and provides administrative services for certain state medical societies that contract with the osma. 3 - the engagement and business strategy group oversees the osma's communications; database; member relations; business partner relations and education and accreditation services, including training and informational seminars for physicians and their staff, and certification of continuing education providers and programs. 4 - the government relations group represents the osma before the ohio legislature and us congress, as well as state and federal regulatory and administrative bodies. The group advocates the medical profession's views on legislation and other public policy matters at the state and national level.

Financial Statement Notes

PART X, LINE 2:

The association annually evaluates for uncertainty in income taxes to enable appropriate presentation in its financial statements. This assessment includes consideration of the recognition and measurement of a tax position taken or expected to be taken in a tax return as well as de-recognition, classification, interest and penalties, accounting in interim periods, disclosure and transition accounting. For the association the assessment also includes consideration of unrelated business income, related deductions applied, or other activities that could jeopardize the tax exempt status and thus meet the definition of an uncertain tax position. The association's income tax returns prior to fiscal year 2013 are closed. No tax accrual was recorded as management believes there are no uncertain tax positions for the association.
