The Articles of Incorporation are amended and restated as follows: First: The name of the Corporation is The Byrd Theatre Foundation Seconc: Paragraph B(1) of the Articles is amended and resated in its entirety as follows: 1. To own, renovate, maintain, lease, sublease, operate and resporte the Byrd Theatrre in the City of Richmond, VA and to preserve same for its cultural & historic value.Copies of Articles of Amendment & Certificate of Receipt from VA State Corporation Commission are attached.

The organizations process is to review & discuss the Form 990 prior to approving for IRS filing.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

THE BOD Members are required to sign and submit the conflict of interest policy annually. In addition, if a new member is brought in mid-year, they are required t sign and submit the same form at that time.

The Theatre is a national historic landmark and has remained largely unaltered since it opened. many renovations are need to preserve one of the nation's finest cinema treasures. The Foundation is working to restore the Theatre and provide enhancements to add comfort. Some of the planned renovations for the Theatre are as follows: 1)Replace auditorium seating, 2)Replace carpeting, 3)Restore Historical marquee, 4)Expansion of stage area, 5)update and upgrade electrical, plumbing and security systems.
