“The Executive Committee shall consist of the Officers of the Corporation (including the Executive Director as a non-voting member) and one (1) additional Director, in his or her first term, elected by the Board of Directors for a term of one year or until the next Summer meeting of the Board of Directors, whichever occurs first. The Executive Committee shall have the authority to exercise all powers of the Board of Directors between meetings of the Board, consistent with adopted policies of the Board.
