FORM 990, PART VI, LINE 11B - ORGANIZATION'S PROCESS TO REVIEW

The form 990 will be distributed to all board members. We will hold a question and answer session using a video conference in which board members will be encouraged to review the form 990. Board members will be encouraged to read the entire document before this meeting.

Form 990, Part VI, Line 12C - Enforcement of Conflicts Policy

In regards to the conflict of interest policy: 1-duty to disclose: in connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. 2-determining whether a conflict of interest exists: after disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a confllict of interest exists. 3-procedures for addressing the conflict: a)an interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. B)the chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate the alternative to the proposed transaction or arrangement. C)after exercising due diligence, the governing board or committee will determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflilct of interest. D)if a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement. 4-violations of the conflicts of interest policy: a)if the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such believe and afford the member an opportunity to explain the alleged failure to disclose. B)if, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action. Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person: a)has received a copy of the conflicts of interest policy; b)has read and understands the policy; c)has agreed to comply with the policy, and d)understands the organizations is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.

Dr. Jn Fritz Jacques is paid to manage the clinic in Dumay, Haiti, to take care for patients, including surgery, and to represent HAM to the Government of Haiti. The founding director, Tracee Laing, researched salary packages for similar positions in Haiti by requesting information from known directors of several clinics and hospitals in Haiti. After bringing that information to the board, and discussion at a regularly scheduled board meeting (excluding Dr. Jacques), the current salary package was agreed upon and presented to Dr. Jacques which he accepted. The Executive Committee reviews Dr. Jacques compensation annually in the last meeting of the year, usually following the November Board Meeting. The process was documented in the board meeting notes. The process was last undertaken in 2021.

Nutrition assistance program. A summer camp for the children in dumay. Emergency response system located on our property. Farming is done on the clinic grounds making good use of the land and providing fresh eggs, etc. Local schools have been supplied with clean water as well as educating the community about clean water/cholera prevention. 950 gift of water systems were maintained. 1,735 gallons of living water for the world purified water have been distributed to 3 local schools, 330 gallons to the clinic, and 5,045 gallons to the community of dumay.

EARTHQUAKE RESPONSE: A 7.2 earthquake struck Haiti's southern peninsula on the 14th of August, 2021 killing over 2,200 people and injuring over 12,200. HAM Haitian Medical Director, Dr. Jean Jacques, immediately began contacting local hospitals and surgical colleagues to mount a medical response. In conjunction, the HAM team in the U.S. obtained a grant of $131,000 from the Together Rising Foundation, and through Dr. Jacques, organized a collaboration with the Haitian Ministry of Health (MSPP), Association of Surgeons at Haiti State Univ. Hospital in Port-au-Prince, and seven major hospitals in the most damaged areas. HAM funded and oversees the planning, supplying, and deployment of Haitian medical teams for this three-month emergency response. To date, the coordinated care effort Dr. Jacques has orchestrated has completed 248 surgeries, with follow-up care for 68 patients with complicated wounds, plus the delivery of 62 newborns and provision of 158 pre and post-natal visits. Working strategically, Dr. Jacques directly involved local health providers in the response, and he reached out to the local Voodoo practitioner Doc La, whose prominent role in the Nippes community, utilizing remedies handed down through generations, made him a key resource. Dr. Jacques worked with Doc La to secure care for those who needed surgical treatment. Staff of 27: 6 surgeons, 10 surgical residents, 3 anesthesia specialist, 4 nurses, 1 midwife, 3 administrators Surgeries = 248 62 midwife assisted deliveries

THERE WERE 1,471 VISITS TO THE SAFE BIRTHING PROGRAM, AND 104 HEALTHY DELIVERIES COMPLETED.
