“The 990 tax return and attached schedules are prepared by murray wells wendeln & robinson cpas, inc. It is reviewed by the budget and reimbursement manager of uvmc, which uvmc foundation is a related organization. After changes are made, the return is reviewed by the executive director of the foundation and the chief financial officer of uvmc. A revised version of the return is sent to murray wells wendeln & robinson cpas, inc. For final review, and then provided to the uvmc foundation board of trustees for review. An electronic copy is provided at least one week prior to the full board meeting in october. At the meeting, the chief financial officer provides highlights of the return, as well as addresses questions from the board. The board then approves the return and schedules for filing.”
“Uvmc foundation requires all board members and members of a committee with governing board delegated powers to annually sign a statement which affirms such person has received a copy of the conflict of interest policy, has read and understands the policy, has agreed to comply with this policy, and understands the uvmc foundation is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. In addition, at each meeting of the board or any board committee, the board committee chair shall request any board member who perceives a potential conflict of interest on any of the meeting's agenda items to disclose such conflict. The normally taken minutes shall contain the name of the party discussing a potential conflict of interest, the nature of the potential conflict of interest, and whether a conflict of interest was found to exist. If a conflict of interest does exist, the board member will be excused from participating in any discussion or voting on the particular agenda item. If the governing board or committee determines that a member has failed to disclose an actual or potential conflict of interest, it shall take appropriate disciplinary and corrective action. In addition, to ensure that the uvmc foundation operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews shall be conducted by the governing board.”
