Form 990, Part VI, Section B, line 12C

Each trustee completes a cincinnati museum center conflict of interest policy questionnaire regarding potential conflicts of interest serving in their capacity as a cmc trustee. All transactions in which a trustee, directly or indirectly, receives a financial benefit from cincinnati museum center are disclosed in the questi onnaires. The governance committee, which includes cmc's general counsel and in consultation with management, reviews the completed questionnaires and deliberates on any potential conflict of interest. The governances committee monitors compliance. The governance committee also determines if a trustee is an "independent" trustee , and only independent trustees may serve on the following committee's governance, finance and audit, investment and compensation.

Form 990, Part VI, Section B, line 15

The board of trustees compensation committee, a standing committee comprised entirely of independent trustees, annually reviews the president/ceo's performance and establishes compensation for the ceo and vice presidents. Written documentation of this review is produced and filed with the director of human resources. The review is based on cmc's financial and programmatic performance, and compensation increases are based on merit. The ceo recommends the vice president's compensation, which is reviewed by the committee and set based on the vice presidents performance and the ceo's recommendation. Benchmark data for comparable positions is utilized by the committee for the ceo and vice presidents and includes tax returns, published reports and formal compensation studies. The committee utilizes a comprehensive study by economic research institute comparing cmc to similar arts, culture and humanities organizations nationally (excluding new york, california, massachusetts and other dissimilar states) that have similar budget organizational structures.

Financial Statement Notes

Part III, Line 1A:

The center owns collections of works of art, historical treasures, and similar assets that it and its predecessor organizations acquired over the years. Such collections are protected, cared for and held in the center's museums and facilities for public exhibition, education, and research. Such collections have not been capitalized and contributions of such items are not recognized as support/revenue in the center's financial statements. Purchases of collection items are recorded as decreases in unrestricted net assets in the year in which the items are acquired and proceeds from deaccessions are reflected as increases in temporarily restricted net assets.

Part III, Line 4:

Cincinnati museum center collections contain approximately two million objects, specimens and archive documents. Nearly 90% of the items in our collections are from the ohio valley region. Several collections date from the early 1800s and have been further developed over time by the cincinnati museum of natural history and the cincinnati historical society. Cmc collections are the basis of museum exhibits, scholarly research, and educational programs within our museums. Collections are made available to the community though an active incoming and outgoing loan program for both exhibit and scientific research purposes. Cmc collections provide the foundation for delivery of our educational mission.

Part V, Line 4:

Cincinnati museum center has a policy of appropriating distributions each year of up to five percent of its previous three-year average endowment fund balance. In establishing this policy, the corporation has considered the long-term expected return on its endowment. Accordingly, this spending policy should, over time, protect the inflation-adjusted value of the endowment and, consequently, allow inflation-adjusted spending to occur in the distant future. This is consistent with the corporation's objective to maintain the purchasing power of the endowment assets held in perpetuity or for a specified term as well as to provide additional real growth through new gifts and investment return.

Part X, Line 2:

The Financial Accounting Standards Board ("FASB") has issued guidance which clarifies generally accepted accounting principles for recognition, measurement, presentation and disclosure relating to uncertain tax positions. This guidance clarifies the accounting and recognition for income tax positions taken or expected to be taken in the Corporation's income tax returns. The Corporations income tax filings are subject to audit by various taxing authorities for a period of three years. While no income tax returns are currently being examined by the Internal Revenue Service, tax years since 2014 remain open. The Corporation's policy with regards to interest and penalties is to recognize interest through interest expense and penalties through other expense. In evaluating the Corporation's tax provision and tax exempt status, interpretations and tax planning strategies were considered. The Corporation believes their estimates are appropriate based on the current facts and circumstances. Revenues derived from certain catering services provided by the Museum and Freedom Center, certain museum shop sales and advertising income that are not substantially related to furthering the Corporation's mission are considered unrelated business income. Taxes on unrelated business income are paid in accordance with the Internal Revenue Code. No accrual has been provided because the amount of tax due is immaterial.

IRS990/Desc0Three Museums accredited by the American Alliance of Museums are open to the public 363 days each year. Cincinnati History Museum, Cincinnati Museum of Natural History and Science, and Duke Energy Children's Miuseum provide public exhibitions and interactive programming for visitors of all ages. Exhibits are created to travel to other museums in North America. Temporary exhibitions are rented from other organizations to supplement the topics presented in the permanent collection. Omnimax large-format film theater presents films on natural and cultural history topics. CMC has participated in the production of Omnimax films shown worldwide. Films are ofter selected to complement current exhibition topics; enhancing the ability to provide meaningful educational opportunities.
