Governance Explanations

Form 990, Part VI, Section B, line 11B

The first level of review of the Form 990 is by MACED's vice president for finance and operations , who provides the preparer with the information for the return and works closely with the preparer to ensure its accuracy and completeness. The MACED president reviews the form before signing it. The board's finance committee also reviews the Form 990. Following the finance committee review, the Form 990 is distributed to the board electronically before it is submitted to the IRS.

Form 990, Part VI, Section B, line 12C

The MACED bylaws include a conflict of interest policy that specifies conflicts of interest to be avoided. The board of directors may make exceptions to the policy in specific cases when the situation is fully disclosed to them. A provision of the conflict of interest policy is that that each director, officer and employee must receive, sign and return a copy of a summary of the conflict of interest policy. Annually, MACED board members and employees sign the summary anew, affirming that they have read and understand the policy. As part of the annual audit process, board members and other related parties fill out a related party questionnaire on which they report any interests and transactions that could give risk to conflicts of interest. Any conflicts of interest are disclosed as part of the audited financial statements.

Form 990, Part VI, Section B, line 15

Annually, the MACED president is evaluated through a process guided by the board executive committee, composed of the board officers (chair, vice-chair, board treasurer and board secretary). The executive committee reports its findings to the board in closed session. After considering the committee's report, the board sets the president's compensation for the following year. The board takes into account compensation levels reported on Forms 990 for the CEOs of three to five comparable organizations as well as its knowledge of compensation of positions in the private and nonprofit sectors with comparable levels of responsibility, qualifications and achievement. The president does not participate in or vote on the decision on the president's compensation. The board's decision on compensation is recorded in minutes which are presented and approved at the following board meeting. This process last took place in December 2016. The president determines the compensation of other staff, including those who serve as corporate officers, following an annual performance review of each staff member. Along with considerations of equity among staff, the president takes into account compensation levels reported on Forms 990 for officer positions in three to five comparable organizations and his knowledge of compensation of positions in the private and nonprofit sectors with comparable levels of responsibility, qualifications and achievement. Every change in a staff salary is documented in a letter to the staff member.

MACED, its subsidiary Ridgecrest Enterprises, and its sister nonprofit Appalachian Investment Corporation are audited each year. The corresponding audit report is on the consolidated financial statements of MACED and its affiliates. This report is available at www.maced.org. A separate audit on MACED's stand-alone financial statements is not issued.

Accounting principles generally accepted in the United States of America require management to evaluate tax positions taken by MACED and recognize a tax liability if MACED has taken an uncertain position that more likely than not would not be sustained upon examination by various federal and state taxing authorities. Management has analyzed the tax positions taken by MACED, and has concluded that as of April 30, 2017 and 2016 there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the accompanying financial statements.

We provide access to investment capital combined with training and technical assistance to increase their capacity and likelihood of success. At fiscal year end, the combined portfolio of MACED and its affiliated nonprofit Appalachian Investment Corporation included 161 loans totaling $12,092,552. In fiscal year 2017 we deployed 60 loans, totaling $3,614,422, and resulting in the creation or retention of 111.5 jobs. Our staff and contractors provided nearly 3,700 total hours of technical assistance.

How$martKY improves accessibility for low- to moderate-income residents by providing energy efficient retrofits through an on-bill financing model, essentially allowing customers to pay for the retrofits through the savings on their utility bills. In fiscal year 2017, we completed 22 retrofits, representing an estimated annual reduction of 412 MMBtu in energy usage and $13,594 in savings on utility bills.

IRS990/ProgSrvcAccomActy3Grp/Desc0Kentucky Center for Economic Policy The Kentucky Center for Economic Policy (KCEP) provides solid information and grounded analysis about state fiscal and economic policy issues and their impact on low- and moderate-income Kentuckians. In fiscal year 2017, we produced 13 briefs and reports and 111 blog posts on Kentucky's tax system and state budget, Medicaid and health care, need-based college aid, the minimum wage, adult education, K-12 school funding, and other issues. We also launched a new multi-year campaign around Kentucky state tax reform. We operated a blog at our website, kypolicy.org, which produced a stream of analysis and commentary on pressing issues facing the state. Our work was cited in 241 separate media stories, including appearances on a state-wide public affairs show and opinion pieces in Kentucky newspapers.

IRS990/ProgSrvcAccomActyOtherGrp/Desc0Central Appalachian NetworkThe Central Appalachian Network (CAN) is composed of six nonprofits that promote sustainable community development in Central Appalachia. CAN's goals include strengthening Central Appalachia's healthy food sector through value chain development, increasing the capacity of CAN members and CAN partners, and engaging in policy change that supports sustainable development. In fiscal year 2017, two organizations joined the network. CAN members strengthened local food value chains primarily through educational conferences, technical assistance, and small grants. MACED serves as fiscal sponsor for CAN. Appalachia Funders NetworkThe Appalachia Funders Network (AFN) consists of 40 member organizations who believe that their participation in the Network is helping to further their mission and deepen their impact. The purpose of AFN is to accelerate an equitable Appalachian transition by convening and connecting funders for learning, analysis and collaboration. AFN's five working groups work to build community capacity, leverage resources into the region, advance food and agriculture systems, promote clean energy and protect natural resources, and support a culture of health. MACED serves as fiscal sponsor for AFN. Energy Efficient EnterprisesMACED's Energy Efficient Enterprises program (E3) promotes energy efficiency by helping businesses and nonprofits save money through reduced energy costs. E3 assesses energy use, develops packages of information, provides technical assistance, and facilitates access to financing to enable rural businesses and nonprofits to benefit from energy and cost savings. In fiscal year 2017 we facilitated 10 energy efficiency retrofits and 5 renewable energy installations, representing total investments of $288,718.00 and resulting in estimated annual savings of 1,095 MMBtu and $30,359. Appalachian Transition Communications & Policy and New ProgramsMACED conducts research and communications around issues and opportunities that relate to driving a just transition to a new economy in Central Appalachia. Issues we've studied this past year include Community Benefit Agreements, trail towns, cooperatives, and rural health care financing. We produce regular blog posts and field multiple requests for interviews from regional and national news outlets. We are also developing a strategic partnership among community leaders and groups across the region that will focus on building community capacity. General Community Development Historically, MACED has provided administrative support services to and has maintained a joint employer relationship with several small nonprofits whose mission closely aligns with MACED's. Currently MACED provides these services to Kentucky Natural Lands Trust (KNLT). KNLT is a nonprofit conservation organization working to secure funds to protect natural lands and provide for their long-term stewardship.
