Governance Explanations

Form 990, Part VI, Section B, Line 11B

The director of finance will e-mail a copy of the form 990 to the finance committee to review and approve. Once the finance committee approves the form 990, they will inform the director of finance. The director of finance will then distribute the form 990 to the board of trustee's for their review. The director of finance will then inform the accounting firm of the approval by the finance committee.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer and member of a committee with board-delegated powers shall annually sign a statement, which affirms that they are following the conflict of interest policy. To ensure that the corporation operates in a manner consistent with its charitable purposes and that it does not engage in activities that could jeopardize its status as an organization exempt from federal income tax, annual reviews shall be conducted by the executive committee.

Form 990, Part VI, Section B, Line 15

The market data will primarily include other long term care facilities and will include survey data for more specialized positions. On an annual basis the ceo, director of hr and cfo will review and approve recommended changes to position range as determined through the market data availability. As part of the annual budgeting process the board of trustee's will review and approve funds to be allocated for total compensation.

Form 990, Part VI, Section C, Line 19

The organization does not make its governing documents, conflict of interest policy, and financial statements available to the public.
