Governance Explanations

Form 990, Part VI, Section B, Line 11B

The cfo will e-mail a copy of the form 990 to the finance committee to review and approve. Once the finance committee approves the form 990, they will inform the cfo. The cfo will then distribute the form 990 to the board of trustee's for their review. The cfo will then inform the accounting firm of the approval by the finance committee.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer and member of a committee with board-delegated powers shall annually sign a statement, which affirms that they are following the conflict of interest policy. To ensure that the corporation operates in a manner consistent with its charitable purposes and that it does not engage in activities that could jeopardize its status as an organization exempt from federal income tax, annual reviews shall be conducted by the executive committee.

Form 990, Part VI, Section B, Line 15

The compensation system will evaluate positions to market by using local and state specific survey data. The market data will primarily include other long term care facilities and will include survey data for more specialized positions. On an annual basis the ceo, director of hr and cfo will review and approve recommended changes to position range as determined through the market data availability. As part of the annual budgeting process the board of trustee's will review and approve funds to be allocated for total compensation.

Form 990, Part VI, Section C, Line 19

The organization does not make its governing documents, conflict of interest policy, and financial statements available to the public.

Additional Explanations

FORM 990, PART XI, LINE 9:

Unrealized gain on beneficial foundation 3,836,823. Unrealized gain on beneficial interests in perpetual trusts 961,672.

Form 990, Part XI, Line 2C Explanation

The finance committee reviews the reviewed financial statements prior to issuance.

Financial Statement Notes

PART V, LINE 4:

The home has a policy of appropriating for distribution each year 5 percent of its endowment fund's average fair value over the prior three years through the calendar year end preceding the year in which the distribution is planned. In establishing this policy, the home considered the long term expected return on its endowment. Accordingly, over the long term, the home expects the current spending policy to allow its endowment to grow at a rate that sufficiently satisfies the homes ability to provide care to its residents at a consistent level indefinitely. This is consistent with the home's objective to maintain the purchasing power of the endowment assets held in perpetuity or for a specified term as well as to provide additional real growth through new gifts and investment return.

PART X, LINE 2:

The home is exempt from income tax under section 501(c)(3) of the internal revenue code. However, the organization is subject to federal income tax on unrelated business income from rental of its former assisted living space. Contributions to the home qualify as charitable deductions. In the normal course of business, however, the home is subject to examination by various other taxing authorities. Although the outcome of tax audits is always uncertain, the home believes that there are no significant unrecognized tax liabilities at december 31, 2017.
