Governance Explanations

Form 990, Part VI, Section B, Line 11

A draft version of the 990 is provided to all board members for their review via email and prior to final submission.

Form 990, Part VI, Section B, Line 12C

The organization requires its directors, management and key employees to complete an annual disclosure form identifying any relationships, positions, or circumstances in which the responsible person is involved that he or she believes could contribute to a conflict of interest arising.

Form 990, Part VI, Section B, Line 15A

In determining the ceo's salary, members of the entire board used a comprehensive process. This process began in spring 2013 and concluded in september 2013, when the ceo's fy14 compensation was unanimously approved by board vote. The process included a board working group (farhad nanji and jordan meranus) that studied and analyzed various compensation-related factors. The working group made an initial ceo compensation recommendation at the june 2013 board meeting. The board discussed and modified this recommendation at its june and august board meetings, and ultimately approved the ceo's compensation at its september 2013 board meeting. The factors that the working group and board considered included: 1. Comparable data and perspectives of others in the field 2. Turnaround context 3. Background and experience of ceo 4. Financial feasibility of ceo compensation increases in 2014, we took this process a step further and participated in a compensation study of charter management organizations that gave us comparability data for ceo, president/executive director, chief, and director salaries. We participated in a compensation study during october 2016. When the results of that study are available in late january 2017, we will review current salaries to ensure that they are aligned with those in peer organizations.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements avaiable upon request.

IRS990/Desc0UP EDUCATION NETWORK IS ONE OF THE FEW SCHOOL MANAGEMENT ORGANIZATIONS IN THE COUNTRY SUCCESSFULLY TACKLING THE CHALLENGES OF IN-DISTRICT SCHOOL TURNAROUND. UP HAS RESTARTED AND CONTINUES TO MANAGE THREE SCHOOLS IN BOSTON, TWO SCHOOLS IN LAWRENCE AND ONE SCHOOL IN SPRINGFIELD, SERVING 3,200 OF THE STATE'S HISTORICALLY UNDERSERVED STUDENTS. LOCAL SCHOOL DISTRICTS ARE A KEY PARTNER IN UP'S WORK TO TRANSFORM CHRONICALLY UNDERPERFORMING DISTRICT SCHOOLS INTO EXTRAORDINARY SCHOOLS. IN SPRING 2015, UP ACADEMY BOSTON STUDENTS WERE AMONG THE 229,500 STUDENTS IN THE STATE OF MASSACHUSETTS TO TAKE THE PARCC EXAM, WHICH IS DESIGNED TO TEST STUDENTS' COLLEGE AND CAREER READINESS. ON THE 2015 PARCC, UP ACADEMY BOSTON STUDENTS WERE #1 IN ACADEMIC GROWTH IN MATH, AS MEASURED BY TRANSITION STUDENT GROWTH PERCENTILE, OR SGP. EVERY YEAR, OUR STUDENTS ACROSS ALL OF OUR SCHOOLS HAVE DEMONSTRATED AMONG THE MOST GROWTH IN MATH IN THE STATE. UP'S RESULTS HAVE BEEN VALIDATED BY INDEPENDENT RESEARCHERS. A RECENT STUDY IN THE AMERICAN ECONOMIC REVIEW BY RESEARCHERS AT MIT FOUND THAT UP DELIVERS EXCEPTIONALLY LARGE, CAUSAL IMPACT FOR OUR STUDENTS IN BOTH MATH AND ELA. OUR STUDENTS WITH THE GREATEST NEED - STUDENTS WITH LOW PRIOR YEAR PERFORMANCE, STUDENTS WITH DISABILITIES AND ENGLISH LANGUAGE LEARNERS, TEND TO SEE THE MOST GROWTH AT UP. UP EDUCATION NETWORK DIRECTLY SUPPORTS ALL SIX SCHOOLS IN OUR PORTFOLIO, DELIVERING HIGH-QUALITY ACADEMIC AND OPERATIONAL SERVICES, MANAGING DISTRICT GOVERNANCE AND OTHER EXTERNAL STAKEHOLDER RELATIONSHIPS, AND SUPPORTING SCHOOL LEADERSHIP TEAMS IN FUNCTIONAL AREAS SUCH AS SPECIAL EDUCATION, ENGLISH LANGUAGE LEARNING, INNOVATION, AND TALENT MANAGEMENT.
