Form 990, Part VI, Section B, Line 15A

In determining both the interim ceo's salary and new permanent ceo's salary, members of the board's search committee considered the following factors: - compensation of others in similar roles at peer organizations - the up turnaround context - the background and experience of the individuals - advice from the external search firm who led the search the board discussed and approved the ceo's compensation and offer of employment at its december 2016 board meeting and subsequently adjusted the offer and approved the revised offer letter at the june 2017 board meeting. The chair of the board approved the interim ceo's compensation in january 2017 and her promotion to deputy ceo was approved by the chair of the board in june 2017. In addition, in 2016, up took participated in a compensation study of charter management organizations that gave us comparability data for ceo, deputy ceo/president/executive director, chief, and director salaries. This study was a follow-up of a 2014 study that helped up adjust salary bands. The 2016 study confirmed that up's compensation package is similar to others nationally, with slightly higher than average salaries for some roles and lower than average benefits packages across the board.

Form 990, Part VI, Section C, Line 19

UP HAS RESTARTED AND CONTINUES TO MANAGE THREE SCHOOLS IN BOSTON, TWO SCHOOLS IN LAWRENCE AND ONE SCHOOL IN SPRINGFIELD, SERVING 3,200 OF THE STATE'S HISTORICALLY UNDERSERVED STUDENTS. LOCAL SCHOOL DISTRICTS ARE A KEY PARTNER IN UP'S WORK TO TRANSFORM CHRONICALLY UNDERPERFORMING DISTRICT SCHOOLS INTO EXTRAORDINARY SCHOOLS. UP EDUCATION NETWORK IS A WINNER OF NEW SCHOOLS VENTURE FUND "EDUCATION REFORM ORGANIZATION OF THE YEAR" IN RECOGNITION OF OUR EXTRAORDINARY RESULTS. UP EDUCATION NETWORK SCHOOLS HAVE BEEN #1 IN THE STATE OF MASSACHUSETTS IN STUDENT GROWTH IN 4 OUT OF THE LAST 6 YEARS AND OUR SCHOOLS HAVE INCREASED PROFICIENCY RATES BY 2-3X WITHIN 2 YEARS OF TURNAROUND. UP'S RESULTS HAVE BEEN VALIDATED BY INDEPENDENT RESEARCHERS. A RECENT STUDY IN THE AMERICAN ECONOMIC REVIEW BY RESEARCHERS AT MIT FOUND THAT UP DELIVERS EXCEPTIONALLY LARGE, CAUSAL IMPACT FOR OUR STUDENTS IN BOTH MATH AND ELA. OUR STUDENTS WITH THE GREATEST NEED -- STUDENTS WITH LOW PRIOR YEAR PERFORMANCE, STUDENTS WITH DISABILITIES AND ENGLISH LANGUAGE LEARNERS, TEND TO SEE THE MOST GROWTH AT UP. UP EDUCATION NETWORK DIRECTLY SUPPORTS ALL SIX SCHOOLS IN OUR PORTFOLIO, DELIVERING HIGH-QUALITY ACADEMIC AND OPERATIONAL SERVICES, MANAGING DISTRICT GOVERNANCE AND OTHER EXTERNAL STAKEHOLDER RELATIONSHIPS, AND SUPPORTING SCHOOL LEADERSHIP TEAMS IN FUNCTIONAL AREAS SUCH AS SPECIAL EDUCATION, ENGLISH LANGUAGE LEARNING, INNOVATION, AND TALENT MANAGEMENT.
