Voting for america provides technical assistance to voter registration drives and partners with other organizations to conduct voter registration drives.

Governance Explanations

Form 990, Part VI, Section B, Line 11

Voting for america's accountants prepare a draft of the form 990, which is then reviewed by voting for america's outside 501(c)(3) counsel and the president. Any questions or corrections they have are directed to the return's preparer. A second version is prepared. The process repeats itself until both counsel and the president are satisfied with the filing. The return is distributed to members of the board of directors and they are provided with an opportunity to ask question and comments. The form 990 is then filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Project vote's board of directors who also serves as voting for america's board of directors, adopted a formal conflict of interest policy in august 2008 by a unanimous vote of all directors. The board's assistant secretary and attorney leads the board of directors through an annual review of the conflict of interest policy and other key governance policies. At its core, the conflict of interest policy is meant to be self-policing, relying on board members to disclose when they have a conflict or appearance of a conflict. The president, board chair, counsel, or other board members have reminded the board of directors of the conflict of interest policy in situations where, based on their knowledge, such a reminder appears to be prudent.

Form 990, Part VI, Section B, Line 15A

Voting for america's board of directors receives no compensation for their services. The board of directors sets the president's salary, which occurred most recently in may 2010. To accomplish this, the board of directors appointed a temporary task force of three board members to study the issue and make a recommendation to the full board of directors. The task force reported that it examined salaries at comparable organizations, assessed the organization's financial resources and compensation culture, and brought a recommendation to the full board of directors. The full board of directors met in an executive session, discussed the task force's recommendation, and voted on a specific salary. Contemporaneous minutes were recorded. The board of director's assistant secretary is a full-time voting for america employee and attorney, whose salary is set by the president. His work as an assistant secretary is incidental to his primary full-time staff responsibilities upon which his compensation is based.

Voting for america complies with applicable rules requiring that it make its form 990 tax return and related schedules available to the public for inspection. Voting for america does not make its governing documents, conflict of interest policy, and financial statements available to the public.
