Governance Explanations

Form 990, Part VI, Section B, Line 11

Form 990 is prepared by an independent cpa and provided to the executive director for review. Upon approval by the executive director, a copy is provided to all board members prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers directors, officers, and members of committees with governing board delegated powers. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the board of directors. After disclosure and any discussion with the interested person, that person shall leave the board of directors' meeting and the remaining directors shall decide if a conflict of interest exists and vote on the transaction or arrangement involving the possible conflict of interest. The disinterested members of the board of directors shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If that is not possible, a majority vote of the disinterested members of the board shall determine whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. It shall then make its decision as to whether to enter into the transaction or arrangement. If the board of directors has reasonable cause to believe a director has failed to disclose actual or possible conflicts of interest, it shall inform the director of the basis for such belief and afford the director an opportunity to explain the alleged failure to disclose. If, after hearing the director's response and after making further investigation as warranted by the circumstances, the board of directors determines the director has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section C, Line 19

Tucson values teachers makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. In addition, form 990 is available online at www.guidestar.org.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0FORM 990 IS PREPARED BY AN INDEPENDENT CPA AND PROVIDED TO THE EXECUTIVE DIRECTOR FOR REVIEW. UPON APPROVAL BY THE EXECUTIVE DIRECTOR, A COPY IS PROVIDED TO ALL BOARD MEMBERS PRIOR TO FILING.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1THE CONFLICT OF INTEREST POLICY COVERS DIRECTORS, OFFICERS, AND MEMBERS OF COMMITTEES WITH GOVERNING BOARD DELEGATED POWERS.
