“The conflict of interest policy covers directors, officers, and members of committees with governing board delegated powers. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the board of directors. After disclosure and any discussion with the interested person, that person shall leave the board of directors' meeting and the remaining directors shall decide if a conflict of interest exists and vote on the transaction or arrangement involving the possible conflict of interest. The disinterested members of the board of directors shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If that is not possible, a majority vote of the disinterested members of the board shall determine whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. It shall then make its decision as to whether to enter into the transaction or arrangement. If the board of directors has reasonable cause to believe a director has failed to disclose actual or possible conflicts of interest, it shall inform the director of the basis for such belief and afford the director an opportunity to explain the alleged failure to disclose. If, after hearing the director's response and after making further investigation as warranted by the circumstances, the board of directors determines the director has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.”

“Tucson values teachers (tvt) leads the region in respecting, rewarding and investing in teachers as a means of attracting and retaining the very best teacher workforce for southern arizona. Tvt's long-term goals and objectives are to create and ensure a stronger teacher workforce, which will result in better outcomes for students to assure they graduate career or college-ready. Our strategies to reach these goals include raising awareness about the central role teachers play in student achievement and the necessity of increased economic support for all teachers and public respect for the role teachers play in the region's economic and civic future. Tvt's organizational impact: we estimate that there are approximately 12,000 educators in southern arizona. The tucson values teachers database has over 11,500 teachers that have voluntarily opted in to our database. Tucson values teachers mission is to serve all teachers in southern arizona, including district, private and charter school teachers, grades k-12. We realize that the quality of the teacher in front of the classroom is the most important factor in the success of any student. We estimate that our programs have an indirect impact on approximately 250,000 students across southern arizona every year. Tvt signature programs - tvt has seven signature programs that work to respect, reward, and invest in teachers by providing teachers with direct support in such areas as fully supplied classrooms, professional development, and community support. In addition, tvt programs serve to increase teacher job satisfaction to affect teacher attraction and retention. 2016 overview of tvt signature programs: teacher appreciation week - coinciding with national teacher appreciation week, tucson values teachers coordinates a week-long celebration of teachers from may 2-6, 2016. This year featured a robust lineup for teacher appreciation week, including a mayoral proclamation of teacher appreciation week for the city of tucson, mini-events for teachers, exclusive discounts in collaboration with business partners from our teacher discount card, a crowdsourcing campaign to boost the coming tucson supplies teachers annual supply drive, and awards that highlight community gratitude for educators, including a co-branded celebration of the stars event with the tucson unified school district. Tvt offered a professional development opportunity in collaboration with communityshare, whose online platform provides k-12 teachers and other educators with access to hundreds of community partners who serve as mentors, project collaborators, guest speakers, content-area consultants to bring real-world learning experiences to students and classrooms. We ended the week with a teacher appreciation night with university of arizona baseball game, with nearly 300 teachers and their families in attendance courtesy of tvt, and spotlighted teachers throwing out the first pitch and singing the national anthem. Tucson supplies teachers - tvt launched our 8th annual supply drive, tucson supplies teachers, the largest community-wide supply drive in our region running in the months of july and august. Community partners including pima federal credit union, walgreens, and several member businesses from the southern arizona leadership council came together to raise over $64,000 to support local teachers with $50 gift cards to assist them with basic classroom tools for student success. Utilizing the teacher discount card program, teachers can stretch the purchasing power of their cards using discounts available at officemax/office depot upwards of $80 in supplies. Of those teachers who registered for assistance, we were able to supply 40% with gift cards. Together with our partners, we have delivered $880,000 worth of classrooms supplies since the inception of this program. “Mentorship and leadership: a new collaboration between tvt and the rodel foundation of arizona will provide teachers leadership opportunities and much needed mentorship for teachers in those first critical years. Tvt and our partner organizations are creating concrete next steps, all with the goal of slowing down the revolving door that is the reality for so many arizona teachers. The challenge will be to move from conversation to mobilization and capitalize on the momentum created by the let's talk ed event. The outcomes mentioned above are also guiding tvt to evaluate our signature programs and services for teachers, as well as begin a new strategic planning process in fall 2016. Teacher discount card program -- tvt currently partners with over 80 local businesses who offer exclusive deals on goods and services in support of teachers. The database of teachers that engage with tvt through the teacher discount card have allowed us to engage on a regular basis with teachers across southern arizona. At the same time, it offers local businesses the opportunity to show gratitude and support for teachers in our community through their discount offers. Teacher excellence awards - presented monthly throughout 2016 in partnership with officemax/office depot, the teacher excellence award is presented to outstanding teachers who have been nominated by school leadership, colleagues, parents and students. The awards are presented to district, private, and charter school teachers throughout southern arizona and shine a spotlight on the extraordinary level of teaching that is happening in classrooms. Besides the revenue reported in this document, tucson values teachers has raised several hundred thousand dollars which flows directly to projects it supports, most notably the university of arizona college of education to support more than 50 teachers who participate in the multi-year teachers in industry program. In 2016, tvt cultivated a $250,000 investment from the t.r.brown family foundation in support of the teachers in industry program. In addition, tvt has orchestrated the business partnerships that match industry with teachers and provide paid summer work that brought $450,000 of income to teacher households. Because our model has been to arrange direct funding it is less obvious that tvt fundraises to support and manages a budget of nearly $900,000 per year and spends only about 5 percent of its money on administration and no program staff. Key in-kind donations include over $48,000 from southern arizona leadership council (salc) for rent and office support, $40,000 from havas pr for design, production, and marketing support, and $2,500 from beachfleischman pc for accounting services and the filing of tvt's form 990.”

TVT'S LONG-TERM GOALS AND OBJECTIVES ARE TO CREATE AND ENSURE A STRONGER TEACHER WORKFORCE, WHICH WILL RESULT IN BETTER OUTCOMES FOR STUDENTS TO ASSURE THEY GRADUATE CAREER OR COLLEGE-READY. OUR STRATEGIES TO REACH THESE GOALS INCLUDE RAISING AWARENESS ABOUT THE CENTRAL ROLE TEACHERS PLAY IN STUDENT ACHIEVEMENT AND THE NECESSITY OF INCREASED ECONOMIC SUPPORT FOR ALL TEACHERS AND PUBLIC RESPECT FOR THE ROLE TEACHERS PLAY IN THE REGION'S ECONOMIC AND CIVIC FUTURE. TVT'S ORGANIZATIONAL IMPACT: WE ESTIMATE THAT THERE ARE APPROXIMATELY 12,000 EDUCATORS IN SOUTHERN ARIZONA. THE TUCSON VALUES TEACHERS DATABASE HAS OVER 11,500 TEACHERS THAT HAVE VOLUNTARILY OPTED IN TO OUR DATABASE. TUCSON VALUES TEACHERS MISSION IS TO SERVE ALL TEACHERS IN SOUTHERN ARIZONA, INCLUDING DISTRICT, PRIVATE AND CHARTER SCHOOL TEACHERS, GRADES K-12. WE REALIZE THAT THE QUALITY OF THE TEACHER IN FRONT OF THE CLASSROOM IS THE MOST IMPORTANT FACTOR IN THE SUCCESS OF ANY STUDENT. WE ESTIMATE THAT OUR PROGRAMS HAVE AN INDIRECT IMPACT ON APPROXIMATELY 250,000 STUDENTS ACROSS SOUTHERN ARIZONA EVERY YEAR. THIS YEAR FEATURED A ROBUST LINEUP FOR TEACHER APPRECIATION WEEK, INCLUDING A MAYORAL PROCLAMATION OF TEACHER APPRECIATION WEEK FOR THE CITY OF TUCSON, MINI-EVENTS FOR TEACHERS, EXCLUSIVE DISCOUNTS IN COLLABORATION WITH BUSINESS PARTNERS FROM OUR TEACHER DISCOUNT CARD, A CROWDSOURCING CAMPAIGN TO BOOST THE COMING TUCSON SUPPLIES TEACHERS ANNUAL SUPPLY DRIVE, AND AWARDS THAT HIGHLIGHT COMMUNITY GRATITUDE FOR EDUCATORS, INCLUDING A CO-BRANDED CELEBRATION OF THE STARS EVENT WITH THE TUCSON UNIFIED SCHOOL DISTRICT. COMMUNITY PARTNERS INCLUDING PIMA FEDERAL CREDIT UNION, WALGREENS, AND SEVERAL MEMBER BUSINESSES FROM THE SOUTHERN ARIZONA LEADERSHIP COUNCIL CAME TOGETHER TO RAISE OVER $64,000 TO SUPPORT LOCAL TEACHERS WITH $50 GIFT CARDS TO ASSIST THEM WITH BASIC CLASSROOM TOOLS FOR STUDENT SUCCESS. UTILIZING THE TEACHER DISCOUNT CARD PROGRAM, TEACHERS CAN STRETCH THE PURCHASING POWER OF THEIR CARDS USING DISCOUNTS AVAILABLE AT OFFICEMAX/OFFICE DEPOT UPWARDS OF $80 IN SUPPLIES. OF THOSE TEACHERS WHO REGISTERED FOR ASSISTANCE, WE WERE ABLE TO SUPPLY 40% WITH GIFT CARDS. TEACHER DISCOUNT CARD PROGRAM -- TVT CURRENTLY PARTNERS WITH OVER 80 LOCAL BUSINESSES WHO OFFER EXCLUSIVE DEALS ON GOODS AND SERVICES IN SUPPORT OF TEACHERS. THE DATABASE OF TEACHERS THAT ENGAGE WITH TVT THROUGH THE TEACHER DISCOUNT CARD HAVE ALLOWED US TO ENGAGE ON A REGULAR BASIS WITH TEACHERS ACROSS SOUTHERN ARIZONA. AT THE SAME TIME, IT OFFERS LOCAL BUSINESSES THE OPPORTUNITY TO SHOW GRATITUDE AND SUPPORT FOR TEACHERS IN OUR COMMUNITY THROUGH THEIR DISCOUNT OFFERS. TEACHER EXCELLENCE AWARDS - PRESENTED MONTHLY THROUGHOUT 2016 IN PARTNERSHIP WITH OFFICEMAX/OFFICE DEPOT, THE TEACHER EXCELLENCE AWARD IS PRESENTED TO OUTSTANDING TEACHERS WHO HAVE BEEN NOMINATED BY SCHOOL LEADERSHIP, COLLEAGUES, PARENTS AND STUDENTS. THE AWARDS ARE PRESENTED TO DISTRICT, PRIVATE, AND CHARTER SCHOOL TEACHERS THROUGHOUT SOUTHERN ARIZONA AND SHINE A SPOTLIGHT ON THE EXTRAORDINARY LEVEL OF TEACHING THAT IS HAPPENING IN CLASSROOMS. BESIDES THE REVENUE REPORTED IN THIS DOCUMENT, TUCSON VALUES TEACHERS HAS RAISED SEVERAL HUNDRED THOUSAND DOLLARS WHICH FLOWS DIRECTLY TO PROJECTS IT SUPPORTS, MOST NOTABLY THE UNIVERSITY OF ARIZONA COLLEGE OF EDUCATION TO SUPPORT MORE THAN 50 TEACHERS WHO PARTICIPATE IN THE MULTI-YEAR TEACHERS IN INDUSTRY PROGRAM. IN 2016, TVT CULTIVATED A $250,000 INVESTMENT FROM THE T.R.BROWN FAMILY FOUNDATION IN SUPPORT OF THE TEACHERS IN INDUSTRY PROGRAM. IN ADDITION, TVT HAS ORCHESTRATED THE BUSINESS PARTNERSHIPS THAT MATCH INDUSTRY WITH TEACHERS AND PROVIDE PAID SUMMER WORK THAT BROUGHT $450,000 OF INCOME TO TEACHER HOUSEHOLDS.
