At board meetings the Board asks its members if there are any conflicts of interest. If a conflict is identified, the Board Member is recused from voting and may not participate in the decision making process regarding the conflict.

Compensation paid by TCO is reported by Total Longterm Care, Inc. (TLC), an affiliated organization. Compensation paid by TLC is not reportable on this tax return since they are not a related organization for 990 purposes and the officers are not being compensated for services rendered to Johnson Adult Day Program. TCO's Associate VP of Human Resource Compliance starts the process of gathering compensation data through Mountain States Employers Council for the top management positions of Center Directors through President/CEO and obtains base salary levels for similar positions in the health care field in Denver metro, Colorado. She then develops minimums for each position along with median and maximum based on the salary data obtained from Mountain States. She further compares this data with the American Assoc of Homes for the Aged's Chief Executives of Multi-facility Organizations salary survey completed in 2010 for key positions in the Senior Living field. In addition, the company engages an executive compensation consultant to review the executive compensation plan and to provide additional salary survey data. That combined data is then used as a guide for determining pay for top management positions at Johnson Adult Day Program and TCO in the mid-range salary levels. TCO's board reviews and approves the compensation of the CEO and the CFO. Salaries were last reviewed in 2010.
