The outside cpa firm prepares the form 990. Copies of the 990 draft are reviewed by the president & ceo and treasurer. The 990 draft is also presented to the finance committee, providing an opportunity to ask questions or address any issues before the final form is filed.

According to article ix of the bylaws, "no director or officer shall participate in any decision relating to a contract or transaction which affects his or her personal interests or the interests of any corporation, partnership or association in which he or she is directly or indirectly interested; nor shall any director or officer vote upon any such contract or transaction. Furthermore, should any item come before the board of directors where a director has an economic interest, such matter shall be fully disclosed to the board and the individual shall abstain from participating in any discussion or voting on said matter." all board members sign-off on this policy at the december board meetings.

The chesapeake conservancy works to achieve a healthier chesapeake bay watershed by connecting people with its wildlife and history; conserving landscapes and rivers; and restoring its natural resources. We serve as a catalyst for change, advancing strong public and private partnerships, developing and using new technology, and driving innovation throughout the conservation movement. From our founding, we have embraced the national park service's captain john smith chesapeake national historic trail as an inspiration and framework for our work.

Financial Statement Notes

PART V, LINE 4:

The chesapeake conservancy established an endowment fund to support a permanent fellowship program, and annual fellowship award.

PART X, LINE 2:

Accounting for uncertainty in income taxes - the conservancy accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. The conservancy has identified its tax status as a tax-exempt entity as its only significant tax position; however, the conservancy has determined that such tax position does not result in an uncertainty requiring recognition. The conservancy is not currently under examination by any taxing jurisdiction. The conservancy's federal and state tax returns are generally open for examination for three years following the date filed.
