“The foundation has a written conflict of interest policy that all board memebers are required to sign. Except as permitted by law, with respect to any contract or other transaction between this foundation and any director(or an organization in which a director, officer or legal representative has a material financial interest), the material facts as to such contract or transaction and as to the director's interest must be fully disclosed or known to the board of directors prior to approval of such contract or transaction, and the interested director may not be counted in determining the presence of a quorum and may not vote. If a board or committee has reasonable cause to believe that a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member opportunity to explain the alleged failure to disclose. If after hearing the response of the member and making such further investigation as may be warranted in the circumstances, the board or committee determines that the member has in fact failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action. The minutes of the board and all the committees with board delegated powers shall contain the names of the person who might have conflict of interest transacton, committee's decision if it exists and all other details in connection with the confilct of interest.”
