“The executive committee is composed of all officers of the board of directors, plus the chairs of each standing committee. The executive committee assists cca management in monitoring the business of cca between regularly scheduled board meetings. The executive committee is also authorized to address and resolve all personnel issues, as deemed by the committee, to require its attention.”
“Cca has delegated certain management duties to glen katlein, an independent consultant and member of the alliance of independent cfo consultants. These management duties consist of some duties customarily performed by a chief financial officer, including reviewing work performed by cca accounting staff employees, reviewing financial reports provided to the ceo, board of directors, and audit/finance committee, and reviewing form 990 and audit report drafts. Glen katlein does not have authority or control of cca activities. However, he does provide leadership guidance and recommendations to the ceo and the board based on these review duties.”
“The form 990 is prepared by an independent accounting firm with assistance from cca staff. It is then reviewed by the finance committee and a recommendation is made to the board for approval. Once accepted, the 990 is filed with the irs.”
“All board members are required to sign an annual conflict of interest statement disclosing any potential conflicts of interest. Conflict of interest policy is monitored annually by the board. All potential conflicts of interest, no matter how small or insignificant, are to be reported to the board chair prior to engaging in a conflict of interest action. The board chair will ask the board of directors to make a decision as to whether the relationship is an appropriate one for cca. The board member declaring the conflict will have no vote on the matter. Moreover, the person having a conflict shall retire from the room in which the board (or its committee) is meeting and shall not participate in the final deliberation regarding the matter under consideration. However, the person shall be permitted to provide the board or committee with any and all relevant information prior to leaving the meeting.”
“The president/ceo's compensation is determined by the board governance committee and communicated to the board of directors. The board governance committee receives input from the directors. A compensation survey of other not-for-profit organizations is also considered in determining the president/ceo's compensation package. The committee and board discussions are documented concurrently with the meeting. The process described here was last completed in 2023.”
“The governing documents and organization's conflict of interest policy are made available upon request. The organization's unaudited financial statement summary is published in the annual impact report and mailed to donors. The financial statements are made available upon request and on the organization's website.”
“In fiscal year 2023, 2,719 dedicated volunteers (unduplicated) contributed an astounding 30,059 hours of service translating to 14,720 volunteer work shifts at cca. The economic impact of this effort on our community was an impressive $1,136,430. The commitment of our volunteers is instrumental in our ability to effectively serve and uplift our community.”
“The organization is a nonprofit entity exempt from federal income taxes under internal revenue code section 501(c)(3); therefore, no provision for federal income taxes has been included in the financial statements. Taxes are paid on net income earned from sources unrelated to the exempt purposes. There was no net income from unrelated business for the years ended june 30, 2023 and 2022. The organization files as a tax-exempt organization. Its tax returns are subject to review and examination by federal and state authorities. Tax returns are open for audit by these authorities for three years from the due date of the return of the date actually filed.”
